The European Bank for Reconstruction and Development ("EBRD", or the "Bank") has provided a sovereign loan to East Delta Electricity Production Company ("EDEPC"), an electricity generation company incorporated in Egypt. The Bank is considering providing another sovereign loan to West Delta Electricity Production Company ("WDEPC"). EDEPC and WDEPC are both wholly owned subsidiaries of Egyptian Electricity Holding Company ("EEHC").

As part of the financing the Bank has agreed an Environmental and Social Action Plan ("ESAP") for each of EDEPC and WDEPC, which includes among others the development of Environmental, Health and Safety management systems in accordance to best international practice, such as ISO 14001 and OHSAS 18001 and attainment of certification under these standards.

In order to fully implement the Bank’s requirements and as part of improving its own corporate governance, EEHC has requested technical assistance for strengthening its subsidiaries’ environmental, social and health and safety (ESHS) management systems. Currently, EDEPC and WDEPC have ESHS management structures based on the legal and regulatory requirements of Egypt. They seek to develop this function to achieve compliance with the ISO 14001 standard of Environmental Management System ("EMS") as well as OHSAS 18001 certification throughout its operations. EDEPC and WDEPC also need to develop a Corporate Social Responsibility ("CSR") programme to address social issues and ensure appropriate communication with stakeholders, including through providing information on ESHS issues as part of disclosure of non-financial information.

Assignment Description: The Bank now intends to engage a consulting company (the "Consultant") to provide assistance to EDEPC and WDEPC in achieving the first steps towards those certifications; to build internal ESHS capacity and enhance current CSR efforts and enable the disclosure of non-financial information as part of annual reporting, ultimately in line with the CSR GRI reporting standard (the "assignment").

The selected Consultant is expected to provide the following services:
1. Conduct an ESHS Management Systems Gap Analysis

Assess and carry out a gap analysis of the two separate EDEPC and WDEPC environmental, social and health and safety management arrangements and current performance against best practices and international certification standards.

2. Develop EHSH Management Policies and Procedures

Assist EEHC in the preparation of a work programme for developing, adopting and implementing an ESHS management system in accordance with ISO 14001 and OHSAS 18001 standards. This programme will establish the roles and responsibilities within the relevant departments of EEHC and will enable each of EDEPC and WDEPC to independently continue developing its ESHS policies and procedures toward ISO 14001 and OHSAS 18001 certification.

3. Develop and Present Training Programme

Develop and present to each company management and relevant departments a training programme designed to familiarise course attendees with the objectives, structure and elements of an ESHS Management System based on ISO 14001 and OHSAS 18001 as well as basic skills in operating the system, notably how to identify hazards, evaluate risks and implement controls.

4. Enhance the Current CSR Programme

Review the current corporate stakeholder and worker grievance procedure and standards and current CSR program, and develop a road map for implementing CSR to enable the development of CSR reporting in line with GRI standards.

5. Set and Establish Internal Audit Mechanism

Develop internal audit mechanism and internal auditing and reporting procedures, and the outcome shall be used to identify problems and implement necessary corrective amendments in each subsidiary’s management system.

6. Assist EDEPC and WDEPC in Acquiring Certifications

Assist EDEPC and WDEPC in seeking the ISO 14001, OHSAS 18001certification.
Status of Selection Process: Interested firms or groups of firms are hereby invited to submit expressions of interest.

Assignment Start Date and Duration: The assignment is expected to start in March 2016 and has an estimated overall duration of 18 months.

Cost Estimate for the Assignment: EUR 300,000 (exclusive of VAT).

The Consultant must determine whether any VAT would be chargeable on the services and the basis for that determination, without taking into consideration the special status of the Bank as an IFI and state this to the Bank in their response to the Invitation for Expressions of Interest. To the extent that a Consultant incurs input VAT on goods and services purchased in connection with the provision of services (e.g. VAT on airline ticket) which is not otherwise recoverable by the consultant from the local tax authority, the gross cost to the consultant of such expenses shall be treated as a reimbursable expense.

Funding Source: It is expected that the sssignment will be funded by the EBRD Shareholder Special Fund. Please note selection and contracting will be subject to the availability of funding.

Eligibility: There are no eligibility restrictions.

Consultant Profile: Corporate services are required. The Consultant will be a firm or a group of firms preferably with previous project experience related to:

1. The power sector and specifically in thermal power generation;
2. ESHS management and ISO 14001 and OHSA 18001 development;
3. CSR reporting;
4. The region, notably power sector in Egypt.

The Consultant’s expert team is expected to include key experts as follows:

a. Key Expert No 1 (Team Leader) with preferably 10 years of previous professional experience in ESHS management, preferably in the power sector.
b. Key Expert No 2 (Project Manager) with preferably 5 years of previous professional experience in ESHS management, preferably in the power sector.
c. Key Experts No 3 (Pool of Additional Experts) consisting of a Regional Expert, a Training Expert and a CRS expert.

Non-key experts are expected to include other staff as deemed necessary by the Consultant.

Submission Requirements: In order to determine the capability and experience of Consultants seeking to be selected for this Assignment, the information submitted should include the following:

1. Company/group of firms’ profile, organisation and staffing (max. 2-4 pages).

2. Details of previous project experience or similar assignments particularly undertaken in the previous five years, including information on contract value, contracting entity/client, project location/country, duration (mm/yy to mm/yy), expert months provided (if different from duration), main activities, objectives.

3. CVs of key experts who could carry out the Assignment detailing qualifications, experience in similar assignments, particularly assignments undertaken in the previous five years, including information on contracting entity/client, project location/country, duration (mm/yy to mm/yy), expert months provided, assignment budget, main activities, objectives.

4. Completed Consultant Declaration Form and Contact Sheet, the template for which is available from the following web-link:
