Overview

Provision of a sovereign loan of up to €30 million to Bosnia and Herzegovina ("BiH" or the "Borrower"), for the benefit of the Ministry of Spatial Planning of Federation of Bosnia and Herzegovina ("FBIH") (the "Client" or the "Ministry"), to implement energy efficiency measures in up to 53 public buildings owned by the FBIH (the "Project").

The loan will be split into two tranches: tranche 1 of up to €10 million ("Tranche 1") and tranche 2 of up to €20 million ("Tranche 2") and will finance energy efficiency investments including outer walls insulation, new glazing, roof insulation, energy efficient lighting, fuel switch (coal and heavy fuel oil replacement as a must), etc. aiming to reduce energy consumption for each building by 30 per cent to 60 percent. In addition, the Project is expected to result in replacement of outdated infrastructure, reduction of negative impact on the environment and improvement of comfort and quality of services in the public buildings.

Project Description

Project Objectives

Improvement of energy efficiency in up to 53 public buildings aiming to reduce energy costs and enhance the buildings' comfort and quality of services.

The Project's transition impact will be derived from the following transition qualities:

Green: The Project will result in significant primary energy savings (over 60 per cent from the investment financed by Tranche 1 and over 50 per cent from the investment financed by Tranche 2) and CO2 savings (over 2,600 tCO2eq from the investment financed by Tranche 1 and over 4,700 tCO2eq from the investment financed by Tranche 2);

Inclusive: The Project will help provide training for low skilled construction workers to improve their skills in energy efficiency measures including training of women who are overall underrepresented in this sector.

Total estimated cost is €40.16 million.

Additionality

The EBRD's additionality is derived from (i) providing financing with a long tenor, not available in the market from commercial sources on reasonable terms and conditions; (ii) through policy, sector, institutional or regulatory change by introducing an energy management system which is expected to be harmonized with the relevant legislation in FBiH as well as international quality standards; and (iii) the Ministry achieving higher standards through the application of international procurement standards.

Green assessments

Alignment with Paris Agreement and attribution of green finance to be confirmed after Project final approval.

Technical Cooperation and Grant Financing

The Project is envisaged to include technical cooperation ("TC") to support the Ministry with the Project's preparation and implementation as follows:

(a) Pre-signing:

i. Environmental, social and technical due diligence for the investment to be financed by Tranche 1;

ii. Development of a public building renovation programme until 2030;

(b) Post-signing:

i. Project implementation unit and procurement support for the components to be financed by both Tranche 1 and Tranche 2;

ii. Project preparation support to the Ministry for design, technical specifications and bill of quantities for the investment financed by Tranche 1;

iii. Project preparation for the investment to be financed by Tranche 2 including energy audits, environmental, social and technical due diligence, detailed design and tender documents.

Environmental and Social Policy (ESP)

The ESP and its associated Environmental and Social Requirements (ESRs) set out the ways in which the EBRD implements its commitment to promoting “environmentally sound and sustainable development”. The ESP and the ESRs include specific provisions for clients to comply with the applicable requirements of national laws on public information and consultation, and to establish a grievance mechanism to receive and facilitate resolution of stakeholders’ concerns and grievances, in particular, about the environmental and social (E&S) performance of the client and the project. Proportionate to the nature and scale of a project’s environmental and social risks and impacts, the EBRD also requires its clients to disclose information, as appropriate, about the risks and impacts of projects or to undertake meaningful consultation with stakeholders and consider and respond to their feedback.

Integrity and compliance

The EBRD's Office of the Chief Compliance Officer (OCCO) promotes good governance and ensures that the highest standards of integrity are applied to all of the Bank's activities in accordance with international best practice. Integrity due diligence is conducted on all Bank clients to ensure that projects do not present unacceptable integrity or reputational risks to the Bank. The EBRD believes that identifying and resolving issues in the project assessment and approval stages is the most effective means of ensuring the integrity of Bank transactions. OCCO plays a key role in these protective efforts andhelps to monitor integrity risks in projects post-investment.

OCCO is further responsible for investigating allegations of fraud, corruption and misconduct in EBRD-financed projects. Anyone, either within or outside the Bank, who suspects fraud or corruption should submit a written report to the Chief Compliance Officer by email to compliance@ebrd.com. OCCO will follow-up all matters reported. It will review all matters reported. Reports can be made in any language of the Bank or of the Bank's countries of operation. The information provided must be made in good faith.

The AIP, which entered into force on 1 January 2025, sets out how the EBRD discloses information and consults with its stakeholders to promote better awareness and understanding of its strategies, policies and operations. Independent Project Accountability Mechanism (IPAM)

If efforts to address environmental, social or public disclosure concerns with the Client or the Bank are unsuccessful (for example, through the client’s project-level grievance mechanism or through direct engagement with Bank management), individuals and organisations may seek to address their concerns through the EBRD’s Independent Project Accountability Mechanism (IPAM).

IPAM independently reviews project issues that are believed to have caused (or to be likely to cause) harm. The purpose of the mechanism is: to support dialogue between project stakeholders to resolve environmental, social and public disclosure issues; to determine whether the Bank has complied with its Environmental and Social Policy or the project-specific provisions of its Access to Information Policy; and where applicable, to address any existing non-compliance with these policies, while preventing future non-compliance by the Bank.
