Overview

The provision of a senior unsecured loan of up to US$ 50 million in US$ or MNT equivalent to Khan Bank JSC ("KB" or the "Company") ("WiB loan") under the Central Asia Women in Business II Programme under the Financial Intermediary Framework ("CA WiB II Programme"). The financing will be used for on-lending to eligible women-led and women-owned private micro, small and medium sized enterprises ("MSMEs") in Mongolia. The WiB loan will be provided in two tranches, Tranche A of up to US$ 20 million and an uncommitted Tranche B of up US$ 30 million.

Project Description

Project Objectives

The project will strengthen the competitiveness of the local economy and support the financial inclusion of underserved female entrepreneurs in Mongolia.

The project will contribute to the objectives of the CA WiB II Programme, supporting its Inclusive and Competitive TI qualities, namely promotion of women-led businesses' access to finance and, more broadly, active participation of women in business, thus alleviating gender inclusion gaps in terms of "access to finance" and "employment and entrepreneurship". In addition, the project will enable KB to scale up lending to women-led MSMEs and deliver non-financial services, including targeted support for the care sub-sector.

KHAN BANK JSC

KB is the largest commercial bank in Mongolia, with total assets of US$ 6.7 billion (28 per cent of the sector's assets), loan portfolio of US$ 3.8 billion (33 per cent), and equity of US$ 793 million (33 per cent) as of year-end 2025. The bank serves more than 84 per cent of the population through its digital banking channels and a network of 529 branches across the country. The bank is currently rated "B1/stable" by Moody's and "B+/stable" by Fitch, at par with the sovereign rating.

Additionality

Financing structure: the additionality of the proposed loan arises from providing access to medium-term funding dedicated to women-led MSMEs, which remains limited in Mongolia, particularly in the current macro-economic environment. The WiB loan will enable KB to offer more appropriate loan tenors and pricing to female entrepreneurs, supporting business formalization, resilience, and growth.

Innovative financing structures and/or instruments: The WiB loan will benefit from a Result-Based Compensation ("RBC"), which is a tailor-made and innovative instrument in the Central Asian market.

Green assessments

The project is determined aligned with the Paris Agreement based on the application of the EBRD's Paris alignment approach for indirectly financed investments. The alignment determination is based on the application of pillar 1 (counterparty commitment to the Paris Agreement) and pillar 2 (sub-transactions filter).

Technical Cooperation and Grant Financing

A. Technical cooperation ("TC").

The project will be supported by the CA WiB II TC Programme, which includes two linked TC components:

(i) tailored capacity-building for partner financial institutions ("PFIs"): a TC Programme established for PFIs capacity building and programme support. The TC programme will help PFIs to individually develop financial products and lending practices that meet the specific needs of women-led MSMEs and support implementation of the programme, including through training of PFI staff and marketing support to stimulate lending to this group on a sustainable basis by addressing identified market failures.

Client contribution: In line with the EBRD Client Contribution Policy (BDS20-119/Rev 1) and guidelines, KB will be requested to provide a parallel contribution to TC. This parallel client contribution can be made in connection with seminars, events and marketing activities, and materials, which may be used for training and promotion of WiB-related products.

(ii) (ii) potential and existing women-led MSME sub-borrowers of KB including in the care economy will receive non-financial services, including tailored advisory support, entrepreneurial training, mentoring, networking opportunities, and other knowledge products. NFS activities will be closely aligned with KB to complement their outreach to women-led MSMEs in the care economy and existing NFS activities provided by the EBRD, thereby advancing their financial inclusion aims while equipping the target group with the skills, knowledge, and networks needed to scale and mature. The TC to women-led MSMEs in the care economy will be implemented by the Bank's SME Finance and Development (SME F&D) team.

B. Co-investment grants/Concessional Finance ("Non-TC")

The WiB loan involves a RBC of up to 3 oer cent of the proposed WiB loan We.Care component. The RBC is expected to incentivise lending to this niche segment, support costs related to building the pipeline, screening costs and building the necessary infrastructure for a sustainable WiB lending expansion.

Environmental and Social Policy (ESP)

The ESP and its associated Environmental and Social Requirements (ESRs) set out the ways in which the EBRD implements its commitment to promoting “environmentally sound and sustainable development”. The ESP and the ESRs include specific provisions for clients to comply with the applicable requirements of national laws on public information and consultation, and to establish a grievance mechanism to receive and facilitate resolution of stakeholders’ concerns and grievances, in particular, about the environmental and social (E&S) performance of the client and the project. Proportionate to the nature and scale of a project’s environmental and social risks and impacts, the EBRD also requires its clients to disclose information, as appropriate, about the risks and impacts of projects or to undertake meaningful consultation with stakeholders and consider and respond to their feedback.

Integrity and compliance

The EBRD's Office of the Chief Compliance Officer (OCCO) promotes good governance and ensures that the highest standards of integrity are applied to all of the Bank's activities in accordance with international best practice. Integrity due diligence is conducted on all Bank clients to ensure that projects do not present unacceptable integrity or reputational risks to the Bank. The EBRD believes that identifying and resolving issues in the project assessment and approval stages is the most effective means of ensuring the integrity of Bank transactions. OCCO plays a key role in these protective efforts andhelps to monitor integrity risks in projects post-investment.

OCCO is further responsible for investigating allegations of fraud, corruption and misconduct in EBRD-financed projects. Anyone, either within or outside the Bank, who suspects fraud or corruption should submit a written report to the Chief Compliance Officer by email to compliance@ebrd.com. OCCO will follow-up all matters reported. It will review all matters reported. Reports can be made in any language of the Bank or of the Bank's countries of operation. The information provided must be made in good faith.

Independent Project Accountability Mechanism (IPAM)

If efforts to address environmental, social or public disclosure concerns with the Client or the Bank are unsuccessful (for example, through the client’s project-level grievance mechanism or through direct engagement with Bank management), individuals and organisations may seek to address their concerns through the EBRD’s Independent Project Accountability Mechanism (IPAM).

IPAM independently reviews project issues that are believed to have caused (or to be likely to cause) harm. The purpose of the mechanism is: to support dialogue between project stakeholders to resolve environmental, social and public disclosure issues; to determine whether the Bank has complied with its Environmental and Social Policy or the project-specific provisions of its Access to Information Policy; and where applicable, to address any existing non-compliance with these policies, while preventing future non-compliance by the Bank.
