Overview

A senior loan of up to EUR 70 million (the "Loan"), comprising a committed tranche of EUR 35 million and an uncommitted tranche of EUR 35 million, to Zagrebacki Holding d.o.o. ("Zagreb Holding" or the "Borrower").

The Loan will finance the first stage of the City of Zagreb's Urban Revitalisation Improvement Plan, including: (i) the development of underground parking facilities, (ii) the installation of supporting infrastructure for bicycles, and (iii) the preparatory works and infrastructure for the installation of electric vehicles ("EV") charging stations at the Borrower's facilities (the "Project").

Project Description

The Project is expected to benefit from an InvestEU guarantee under the InvestEU Framework for Sustainable Transition II.

Project Objectives

The Project will support implementation of the Urban Revitalisation Improvement Plan and address key urban mobility and transport challenges, in line with Zagreb's sustainable urban mobility plans. By relocating parking capacity underground and investing in sustainable mobility infrastructure, the Project is expected to reduce pressure on surface parking, improve urban public spaces by reallocating space to pedestrians and cyclists as well as introducing additional greenery in the streets surrounding the parking facility, promote more sustainable modes of transport and mobility and enhance accessibility across the City of Zagreb (the "City").

Green: The Project will support demand reduction by enabling the replacement of on-street parking spaces with underground parking facilities, thereby freeing up public spaces and promoting walking, cycling and the use of public transport. It will also enable additional planting of trees and greening of the surrounding area, further improving the quality of the urban environment. Together, these measures are expected to contribute to reduced greenhouse gas emissions and local air pollutants from urban transport, while also alleviating congestion, improving pedestrian accessibility and enhancing the quality of the urban environment in the city centre.

Resilient: The Project will strengthen the Borrower's resilience to cybersecurity risks by supporting improvements in its cybersecurity governance, processes and controls, with a particular focus on protecting the digital systems and services underpinning parking and garage operations. These measures are expected to improve the security, reliability and continuity of the Borrower's digital services and strengthen its capacity to prevent, respond to and recover from cyber incidents.

Additionality

The EBRD will provide financing on terms and conditions not readily available in commercial banking market, thereby addressing the Project's financing gap. In addition, the EBRD provides expertise, technical knowledge and implementation support that are important for the successful and timely delivery of the Project. EBRD's additionality will be further strengthened through the promotion of higher environmental standards and sustainability proofing under the InvestEU programme.

Environmental and Social Summary

Categorised B (2024 ESP). The Project consists of a senior loan to Zagreb Holding, an existing client of the Bank, to finance the first phase of the city's Urban Revitalisation Improvement Plan. Use of funds will be for a three-storey underground parking lot, bicycle infrastructure and EV charging infrastructure. Associated facilities, not benefitting from EBRD finance, but funded solely by the City, include the rehabilitation of a sports facility, new construction of a children's playground, new bike lanes and street improvement works. These City-funded works would not materialise without the presence of the aforementioned EBRD-funded activities due the interconnected and holistic nature of the modernisation project (removal of the street parking as part of the envisioned underground parking and other two components are a prerequisite). Potential environmental physical risks identified at this stage, prior to completion of environmental and social due diligence (ESDD), pertain primarily to construction phase impacts, while social risks relate primarily to labour arrangements, occupational health and safety on site, economic displacement and/or land use changes, and stakeholder engagement. Physical environmental risks include, but are not limited to, permitting, construction works-related dust emissions; noise and vibrations; impacts on groundwater and/or the local water table from trenching and ducting required to build the parking lot foundation; traffic and road safety management during construction and operation; and EV charger supply chain management and hazardous waste management. Potential social risks similarly pertain to the construction phase, including remuneration and overtime of employees, contractor and sub-contractor management, health and safety training, accident and emergency procedures, Personal Protective Equipment (PPE) use, and external stakeholder consultation and grievance mechanism.

An external consultant has been mobilised to undertake environmental and social due diligence for the Project to ensure its compliance with the Bank's Environmental and Social Policy and assess risks and impacts. Assessment is underway, and further updates to this PSD will be provided upon completion. Included in the scope of assessment are the associated facilities and child safety and chargers' safety mechanisms. Upon receipt of the final external due diligence report, EBRD will develop an ESAP to manage identified risks and impacts.

Technical Cooperation and Grant Financing

The Project is expected to benefit from a first loss guarantee provided by the European Union under the InvestEU Programme, specifically under the EBRD General Debt Product and the Sustainable Infrastructure Window. Additionally, the Project has benefitted from advisory funding provided by the InvestEU Advisory Hub.

TC 1: Advance Procurement Support. An independent consultant was engaged to support the procurement process. The costs are financed by the InvestEU Advisory Hub, with the Client's pre-defined participation in the costs.

TC 2: Technical, Environmental and Social due diligence. An independent consultant was engaged to review the technical, environmental and social aspects of the Project. The costs are financed by the InvestEU Advisory Hub, with the Client's pre-defined participation in the costs.

Environmental and Social Policy (ESP)

The ESP and its associated Environmental and Social Requirements (ESRs) set out the ways in which the EBRD implements its commitment to promoting “environmentally sound and sustainable development”. The ESP and the ESRs include specific provisions for clients to comply with the applicable requirements of national laws on public information and consultation, and to establish a grievance mechanism to receive and facilitate resolution of stakeholders’ concerns and grievances, in particular, about the environmental and social (E&S) performance of the client and the project. Proportionate to the nature and scale of a project’s environmental and social risks and impacts, the EBRD also requires its clients to disclose information, as appropriate, about the risks and impacts of projects or to undertake meaningful consultation with stakeholders and consider and respond to their feedback.

Integrity and compliance

The EBRD's Office of the Chief Compliance Officer (OCCO) promotes good governance and ensures that the highest standards of integrity are applied to all of the Bank's activities in accordance with international best practice. Integrity due diligence is conducted on all Bank clients to ensure that projects do not present unacceptable integrity or reputational risks to the Bank. The EBRD believes that identifying and resolving issues in the project assessment and approval stages is the most effective means of ensuring the integrity of Bank transactions. OCCO plays a key role in these protective efforts andhelps to monitor integrity risks in projects post-investment.

OCCO is further responsible for investigating allegations of fraud, corruption and misconduct in EBRD-financed projects. Anyone, either within or outside the Bank, who suspects fraud or corruption should submit a written report to the Chief Compliance Officer by email to compliance@ebrd.com. OCCO will follow-up all matters reported. It will review all matters reported. Reports can be made in any language of the Bank or of the Bank's countries of operation. The information provided must be made in good faith.

The AIP, which entered into force on 1 January 2025, sets out how the EBRD discloses information and consults with its stakeholders to promote better awareness and understanding of its strategies, policies and operations. Independent Project Accountability Mechanism (IPAM)

If efforts to address environmental, social or public disclosure concerns with the Client or the Bank are unsuccessful (for example, through the client’s project-level grievance mechanism or through direct engagement with Bank management), individuals and organisations may seek to address their concerns through the EBRD’s Independent Project Accountability Mechanism (IPAM).

IPAM independently reviews project issues that are believed to have caused (or to be likely to cause) harm. The purpose of the mechanism is: to support dialogue between project stakeholders to resolve environmental, social and public disclosure issues; to determine whether the Bank has complied with its Environmental and Social Policy or the project-specific provisions of its Access to Information Policy; and where applicable, to address any existing non-compliance with these policies, while preventing future non-compliance by the Bank.
