Overview

Senior loan of up to EUR 25 million in favour of CSCT for the electrification of the South Constanta Port operations (the "Project"). The total Project cost is estimated at EUR 100 million, to be co-financed alongside the EU under its Alternative Fuels Infrastructure Facility ("AFIF") Programme, whereby EBRD is an Implementing Partner, and partly covered by the Company's own resources, as outlined below.

The electrification of Constanta port, operated by CSCT, envisages investments in the electrical restoration of the entire terminal infrastructure, such as new electrical networks and transformer points, electric vehicles and charging stations, which will significantly contribute to climate change mitigation.

Project objectives

The project objective is to reduce the carbon footprint of CSCT operations, resulting from electrification and energy savings of the port terminal.

Transition impact stems from two qualities: "Green" and "Competitive"

Green transition quality comes from reducing air pollution, particularly through CO2 reduction of approximately 13,800 t/year, and the development of the Constanta's GCAP.

Competitive quality is associated comes from innovative technology. Though this Project, the Company will replace the old cranes (used to stack and move containers in the port terminal) with new electric cranes and will develop the related infrastructure to establish an intelligent terminal, resulting in energy savings and better cost efficiency.

Client information

CONSTANTA SOUTH CONTAINER TERMINAL SRL

CSCT was set up in 2003 when DP World, one of the largest marine terminal operators in the world, signed a contract (Terminal Land Lease Agreement) to operate Constanta's south port container terminal.

CSCT Terminal is benefitting from state of art infrastructure with excellent deep-water access and multimodal connectivity by sea, road and rail. Due to the free port zone status, the Company has direct access to the electrified national rail network, two motorways connecting Constanta to central and south-east Romania, the Black Sea and Danube Channel.

Currently, the Company operates a 1.5 million TEU capacity terminal in Constanta, Romania, the largest container terminal at the Black Sea.

Additionality

This will be the first electrification project of a port infrastructure in Romania. The Bank's involvement as an anchor investor and Implementing Partner for AFIF in Romania is sought for its expertise in greening large infrastructure project, providing assistance and financing terms that not commonly available in the market.

Environmental & Social Summary

Categorised B (2019 ESP). The project consists in the electrification of Constanta's south port infrastructure. All planned works will be undertaken within the existing operational port terminal.

Key E&S risks related to decommissioning of the old infrastructure as well as of loading/unloading facilities by replacing the diesel engine with electric powered cranes and installing new electrical networks and transformer points, power connection with the main port power station, power connection with the main grid, new internal railway lines, operation equipment, power supply for vessels, as well as restoration of the yard infrastructure include: occupational health and safety (especially electrical safety for installation and maintenance workers and excavations), soil disposal and waste management, noise and air emissions as well as supply chain and contractor management, labour rights (including contractors/gender) and stakeholder engagement.

Environmental and Social (E&S) due diligence is being undertaken by independent consultant and will include a review of the Client's E&S organisation, E&S practices and performance at the terminal, contractor management arrangements and preparation of an ESAP.

A SEP and NTS will be also prepared as part of the ESDD and will be disclosed by the client and EBRD.

Technical Cooperation and Grant Financing

TC for a Green City Action Plan ("GCAP") development will support the City of Constanta to identify and prioritise its most pressing environmental challenges, and define the measures, namely investments and policy actions, needed in order to address these challenges. The GCAP will also cover digital, inclusion and gender considerations. The estimated cost of the assignment is up to EUR 275,000 expected to be financed by an international donor or the SSF.

Environmental and Social Policy (ESP)

The ESP and its associated Environmental and Social Requirements (ESRs) set out the ways in which the EBRD implements its commitment to promoting “environmentally sound and sustainable development”. The ESP and the ESRs include specific provisions for clients to comply with the applicable requirements of national laws on public information and consultation, and to establish a grievance mechanism to receive and facilitate resolution of stakeholders’ concerns and grievances, in particular, about the environmental and social (E&S) performance of the client and the project. Proportionate to the nature and scale of a project’s environmental and social risks and impacts, the EBRD also requires its clients to disclose information, as appropriate, about the risks and impacts of projects or to undertake meaningful consultation with stakeholders and consider and respond to their feedback.

Integrity and compliance

The EBRD's Office of the Chief Compliance Officer (OCCO) promotes good governance and ensures that the highest standards of integrity are applied to all of the Bank's activities in accordance with international best practice. Integrity due diligence is conducted on all Bank clients to ensure that projects do not present unacceptable integrity or reputational risks to the Bank. The EBRD believes that identifying and resolving issues in the project assessment and approval stages is the most effective means of ensuring the integrity of Bank transactions. OCCO plays a key role in these protective efforts andhelps to monitor integrity risks in projects post-investment.

OCCO is further responsible for investigating allegations of fraud, corruption and misconduct in EBRD-financed projects. Anyone, either within or outside the Bank, who suspects fraud or corruption should submit a written report to the Chief Compliance Officer by email to compliance@ebrd.com. OCCO will follow-up all matters reported. It will review all matters reported. Reports can be made in any language of the Bank or of the Bank's countries of operation. The information provided must be made in good faith.

The AIP, which entered into force on 1 January 2025, sets out how the EBRD discloses information and consults with its stakeholders to promote better awareness and understanding of its strategies, policies and operations. Independent Project Accountability Mechanism (IPAM)

If efforts to address environmental, social or public disclosure concerns with the Client or the Bank are unsuccessful (for example, through the client’s project-level grievance mechanism or through direct engagement with Bank management), individuals and organisations may seek to address their concerns through the EBRD’s Independent Project Accountability Mechanism (IPAM).

IPAM independently reviews project issues that are believed to have caused (or to be likely to cause) harm. The purpose of the mechanism is: to support dialogue between project stakeholders to resolve environmental, social and public disclosure issues; to determine whether the Bank has complied with its Environmental and Social Policy or the project-specific provisions of its Access to Information Policy; and where applicable, to address any existing non-compliance with these policies, while preventing future non-compliance by the Bank.
