Project Description

The Investment Council of Armenia (IC), supported by the European Bank for Reconstruction and Development (EBRD), is Armenia’s principal public–private dialogue platform for advancing investment climate reforms. Operating under a Deputy Prime Minister-led structure, it brings together the Government, private sector and development partners to identify business environment constraints and translate them into practical, evidence-based reform proposals aligned with Armenia’s reform agenda, CEPA commitments and EBRD country strategy priorities.

Project Description

During 2026–2027, the assignment will provide sustained technical and coordination support to the IC Secretariat, strengthening structured consultation, technical analysis, reform design and follow-up through formal Council mechanisms. This support will enable the Secretariat to develop practical policy responses, facilitate high-level dialogue and advance priority reforms contributing to investment, EU integration and private sector development.

The reform focus will include innovation-led growth, SME competitiveness, export diversification, regulatory modernisation, EU alignment and stronger investor confidence. Expected results include improved regulatory clarity, reduced compliance costs, expanded financing instruments for SMEs, greater regulatory flexibility for innovation and foreign investment, and closer alignment with EU standards.

Established with EBRD support in 2007, the IC has evolved from supporting the Business Support Council and the Inspection Reforms Coordination Council to serving as the Secretariat to the SME Development Council, established in 2011 as a high-level platform for identifying, prioritising and resolving key constraints to SME development. It has since become a trusted mechanism for independent economic and legal analysis, regular Government–business dialogue and reform implementation in close coordination with the Ministry of Economy.The IC also played an important role in supporting Government and business responses to the economic impact of COVID-19 through business assistance initiatives and advisory support. Since mid-2020, Armenia has been part of the joint EBRD–UK Good Governance Fund (GGF) portfolio, which has financed IC activities, including COVID-19 response measures. Continued support through 2026–2027 will help preserve reform momentum, sustain high-level public–private dialogue and strengthen the investment climate during the transition period.

TC Project Scope

TC Services

The objective of the proposed TC is to provide continued funding for the Secretariat to the Armenia Investment Council to equip it with professional staff and other resources required to ensure the effective functioning of the Council.

The Secretariat will focus on measurable reform outcomes, including improved legal clarity, expanded financing instruments for SMEs, enhanced regulatory flexibility supporting innovation and foreign investment, and stronger alignment with EU regulatory frameworks.

• Under the Access to Finance and Innovation stream, the Secretariat will facilitate venture capital reform, angel investor ecosystem development, and modernization of digital financial instruments including Electronic Transferable Records.
• Under the Corporate and Legal Reform stream, the Secretariat will contribute to modernization of the Law on Limited Liability Companies, comprehensive Company Law reform, transfer pricing amendments, and Civil Code updates introducing internationally recognized contractual instruments.
• Under the Land and Industrial Asset Reform stream, the Secretariat will address cadastre valuation constraints and support revitalisation of abandoned industrial facilities to unlock regional investment potential.
• Under the Trade and CEPA Alignment stream, the Secretariat will facilitate alignment of Armenian legislation with EU standards in consumer protection, waste management, and data protection, ensuring structured private sector consultation.

Independent Project Accountability Mechanism (IPAM)

If efforts to address environmental, social or public disclosure concerns with the Client or the Bank are unsuccessful (e.g. through the Client’s Project-level grievance mechanism or through direct engagement with Bank management), individuals and organisations may seek to address their concerns through the EBRD’s Independent Project Accountability Mechanism (IPAM).

IPAM independently reviews Project issues that are believed to have caused (or to be likely to cause) harm. The purpose of the Mechanism is: to support dialogue between Project stakeholders to resolve environmental, social and public disclosure issues; to determine whether the Bank has complied with its Environmental and Social Policy 2024 or Project-specific provisions of its Access to Information Policy; and where applicable, to address any existing non-compliance with these policies, while preventing future non-compliance by the Bank.
