Project Description

A senior unsecured loan of up to €15 million to Banca Intesa Beograd ("BIB"), under the WB Youth in Business Programme.

Project Objectives

The proceeds of the Bank's investment will be used for eligible Youth MSMEs (i.e. youth-led or youth-owned MSMEs) in accordance with the respective Policy Statement.

The project contributes to the objectives of the WB Youth in Business Programme. The project will contribute to the Inclusive Transition Impact quality by: (i) supporting BIB in increasing lending to Youth SMEs, and (ii) building BIB`s capacity and skills to better understand and cater to the Youth SMEs segment. As per FIF market expansion objectives, BIB will increase lending to Youth SMEs, reach new clients, and finance clients in the regions outside of the capital city, thus supporting the Competitive TI quality.

Banca Intesa Belgrade ("BIB") is the largest bank in Serbia and is among the leading banks in both corporate and retail banking. As of 2Q26, BIB had a market share of 15.3% by total assets, 15.8% by net loans and 15.8% by deposits. BIB has consistently ranked among Serbia's most profitable banks over the years, driven by its strong economies of scale, well-diversified operations, and high efficiency. The bank has over 2,873 employees and a branch network of 134 offices across Serbia.

Environmental and Social Summary

Categorised FI (ESP 2024). Banca Intesa Beograd (BIB) is an existing client of the Bank with satisfactory environmental and social (E&S) performance under its current EBRD exposures. The proceeds of the financing will be used to support eligible subprojects under the EBRD's Financial Intermediaries Framework, including SME finance, Youth in Business, Women in Business and Green Economy financing activities. Eligible subprojects are expected to be associated primarily with low-to-medium E&S risks, arising from the financed sub-loans and, where relevant, associated supply chain risks.

E&S due diligence has been conducted through a review of the client's latest annual E&S report and ongoing monitoring of its E&S performance. BIB has an Environmental and Social Management System (ESMS) that is commensurate with the risk profile of its portfolio and the nature of the eligible subprojects. BIB is expected to maintain and implement its ESMS to effectively identify, assess, manage and monitor E&S risks and impacts associated with financed activities.

The client is required to comply with EBRD Environmental and Social Requirements (ESRs) 2, 4 and 9 under the 2024 Environmental and Social Policy (ESP), including adherence to the EBRD Environmental and Social Exclusion List and applicable programme-specific eligibility requirements. Sub-borrowers financed by BIB must comply with applicable national environmental, social, health and safety, and labour legislation.

Where EBRD financing is used to support green economy investments, including energy efficiency, renewable energy and other eligible green technologies, such investments must meet the relevant EBRD eligibility criteria and applicable programme requirements. BIB is required to continue submitting Annual E&S Reports to the EBRD, including information on ESMS implementation, compliance with applicable ESRs, portfolio screening results and any material E&S incidents. In line with ESP 2024, BIB is also required to maintain public disclosure of information relating to its ESMS.

Green assessments

The project is determined aligned with the Paris Agreement based on the application of the EBRD's Paris alignment approach for indirectly financed investments. The alignment determination is based on the application of pillar 1 (counterparty commitment to the Paris Agreement) and pillar 2 (sub-transactions filter). There is no green finance associated with this project.

Technical Cooperation and Grant Financing

The Programme is supported by Italy via the Central European Initiative, Luxembourg via the EBRD Small Business Impact Fund and the European Union via the European Fund for Sustainable Development Plus (EFSD+), to support PFI's capacity building and youth-led SMEs.

Environmental and Social Policy (ESP)

The ESP and its associated Environmental and Social Requirements (ESRs) set out the ways in which the EBRD implements its commitment to promoting “environmentally sound and sustainable development”. The ESP and the ESRs include specific provisions for clients to comply with the applicable requirements of national laws on public information and consultation, and to establish a grievance mechanism to receive and facilitate resolution of stakeholders’ concerns and grievances, in particular, about the environmental and social (E&S) performance of the client and the project. Proportionate to the nature and scale of a project’s environmental and social risks and impacts, the EBRD also requires its clients to disclose information, as appropriate, about the risks and impacts of projects or to undertake meaningful consultation with stakeholders and consider and respond to their feedback.

Integrity and compliance

The EBRD's Office of the Chief Compliance Officer (OCCO) promotes good governance and ensures that the highest standards of integrity are applied to all of the Bank's activities in accordance with international best practice. Integrity due diligence is conducted on all Bank clients to ensure that projects do not present unacceptable integrity or reputational risks to the Bank. The EBRD believes that identifying and resolving issues in the project assessment and approval stages is the most effective means of ensuring the integrity of Bank transactions. OCCO plays a key role in these protective efforts andhelps to monitor integrity risks in projects post-investment.

OCCO is further responsible for investigating allegations of fraud, corruption and misconduct in EBRD-financed projects. Anyone, either within or outside the Bank, who suspects fraud or corruption should submit a written report to the Chief Compliance Officer by email to compliance@ebrd.com. OCCO will follow-up all matters reported. It will review all matters reported. Reports can be made in any language of the Bank or of the Bank's countries of operation. The information provided must be made in good faith.

The AIP, which entered into force on 1 January 2025, sets out how the EBRD discloses information and consults with its stakeholders to promote better awareness and understanding of its strategies, policies and operations. Independent Project Accountability Mechanism (IPAM)

If efforts to address environmental, social or public disclosure concerns with the Client or the Bank are unsuccessful (for example, through the client’s project-level grievance mechanism or through direct engagement with Bank management), individuals and organisations may seek to address their concerns through the EBRD’s Independent Project Accountability Mechanism (IPAM).

IPAM independently reviews project issues that are believed to have caused (or to be likely to cause) harm. The purpose of the mechanism is: to support dialogue between project stakeholders to resolve environmental, social and public disclosure issues; to determine whether the Bank has complied with its Environmental and Social Policy or the project-specific provisions of its Access to Information Policy; and where applicable, to address any existing non-compliance with these policies, while preventing future non-compliance by the Bank.
