Overview

Provision of a senior corporate loan to Mota-Engil Engenharia e Construcao Africa, SA ("Mota-Engil Africa") of up to EUR 162 million, guaranteed by Mota-Engil SGPS, SA ("Mota-Engil"), to support Mota-Engil Africa's activities in Sub-Saharan Africa ("SSA"). The loan proceeds are expected to finance: (i) the acquisition of railway construction equipment in Nigeria; (ii) mining services capital expenditures across three mines in Côte d'Ivoire and Senegal; (iii) refinancing of capital expenditures; and (iv) working capital financing (the "Project").

The Project will be presented under two separate disclosures, comprising two components: EUR 63 million related to railway construction in Nigeria and EUR 99 million related to mining services activities in Côte d'Ivoire and Senegal.

The EBRD proceeds will be used to finance mining services CAPEX across three mines in Côte d'Ivoire (Lafigue Gold Mine and Seguela Gold Mine) and Senegal (Boto Gold Mine), refinancing of CAPEX, and working capital financing in these two countries.

Additionality

The EBRD proceeds support the completion of three mining services projects in Côte d'Ivoire and Senegal while the refinancing and working capital financing provide Mota-Engil Africa with further operational flexibility. The Project's associated TC package supports the client in addressing gender gaps in the mining services sector by promoting concrete actions to increase female representation and enhance access to technical skills and employment opportunities for women in Côte d'Ivoire and Senegal.

Environmental and Social Summary

Categorised B (ESP 2024). The Project will support MEA's contract mining services at three existing, operational mines (Lafigue and Seguela mines in Cote d'Ivoire and Boto mine in Senegal). MEA provides these services, which include drilling, blasting, excavation, loading and transportation of ore and waste rock, and maintenance of infrastructure, through their subsidiaries. Other operational mine activities, such as processing, tailings management, etc., are provided by the mine owners and/or their contractors. ESDD, which was supported by a consultant, reviewed MEA's corporate E&S management provisions; their mine site activities, E&S provisions and performance, and their contractual E&S obligations; and the risks associated with the mines themselves and how they are managed. It determined that MEA has generally robust E&S management provisions and capacities in place and that the E&S risks and impacts associated with the Project are appropriately managed and the Project can be structured to meet the Bank's E&S Requirements through an ESAP. The ESAP will be agreed with MEA before Board and includes further strengthening corporate and site-level E&S management systems, labour and contractor management practices and GBVH management. There are potential ongoing E&S risks, such as community relations, health and safety, waste management, noise, emissions, biodiversity and water management, associated with the broader mine operations, as would be the case for any mine. ESDD determined that these are generally appropriately managed by the mine owners, however, there is a increased risk associated with the mine in Senegal, noting the proximity of its tailing facility to the border with Mali and the potential for transboundary impacts in the unlikely event of a failure. It is expected that MEA's E&S practices, and implementation of the ESAP, will contribute to reinforcing and/or influencing wider mine E&S performance. ESD will monitor the project through MEA E&S reports and site visits to the mine sites.

Each mine has previously been subject to an ESIA which has informed the design of mitigation measures. MEA is required to comply with all such measures as well as client requirements and its own corporate commitments. Mota Engil has a well-developed corporate governance system that is cascaded down to the site level via its subsidiaries. Prior to any contract, MEA undertakes a risk assessment of the location and the project. It has in place an ISO certified, integrated management system including environmental, health and safety (H&S) and quality management systems. These are implemented for MEA's activities at each mine. The management systems include requirements from corporate commitments and procedures, client contractual obligations, national law, existing lender requirements (specifically IFC and AfDB requirements), as well as requirements from EIAs/ESIAs and ESMPs. The management systems are supported by well-developed organisational functions and capacity at the corporate level and at each mine site with regular communication and oversight by the corporate E&S function. Mota Engil is currently developing additional, and updating existing, procedures and management measures/plans, including with respect to social aspects, to be implemented at site level to fully operationalise the management system and align with lender requirements. It is working with its sub-contractors to ensure compliance with its management practices. These additional procedures and plans will align MEA's management systems with EBRD's E&S Requirements.

MEA has in place the necessary labour provisions in line with corporate commitments and national law. These are generally aligned with ESR 2 but MEA will need to ensure that appropriate labour management plan is in place at each mine site and that a worker grievance mechanism is maintained. Workers are hired nationally and locally with expats retained where specific expertise is required. MEA will need to ensure continued alignment with the Bank's requirements for worker accommodation.

Mining activities can be associated with worker and community GBVH risks. The ESAP requires MEA to establish a GBVH framework extending to each site. This would build on existing corporate GBVH provisions including an Anti-Harassment and Discrimination policy, GBVH prevent measures, Code of Conduct (CoC), training and reporting. The framework will need to ensure regular GBVH risk assessment and monitoring as well implement appropriate GBVH prevention and response actions. Such measures would complement existing provisions at each mine.

MEA has in place measures to manage pollution related risks, which include water controls, materials managements, blasting, emissions, dust, transport, road safety, security, etc. These align with mine site management requirements, drawing on existing ESIAs, and good practice. MEA will need to ensure that such measures continue to be in place and are appropriate for their activities and risks. H&S risks are managed through the H&S management systems which includes the required procedures, responsibilities, training requirements, incident reporting and investigation and emergency response.

Wider mine risks and impacts such as those associated with mine establishment (land acquisition/clearance, and biodiversity), mine waste management, water, security, cultural heritage, community engagement, artisanal and small-scale mining, biodiversity offsets, and mine rehabilitation are under the control of the mine owners who have in place appropriate E&S provisions and controls. MEA has no formal responsibility beyond what it is contracted for. It works, however, with the mine owners and contractors to jointly respond to and/or address some of these risks and impacts. This relates to communities, workers, community investment, H&S, training, etc. The Senegal mine operates a tailings storage facility which is located near to the Mali border and has been categorised as presenting a potential cross border risk if there was an unlikely failure. This is mitigated through the design and operational controls.

Technical Cooperation and Grant Financing

The Project will be complemented by a Technical Cooperation ("TC") assignment under the Gender and Economic Inclusion TC Framework in an aggregate amount of EUR 200,000 to be funded from the EBRD Action for Equality and Gender Multi-Donor Fund ("A4EG"), including a contribution from Mota-Engil Africa of up to 50%.

The TC assignment aims for capacity building focusing on increasing the share of women in the Company's labour force, including total workforces, senior positions, and technical roles, and employability initiatives supporting access to skills and employment at the local level.

Environmental and Social Policy (ESP)

The ESP and its associated Environmental and Social Requirements (ESRs) set out the ways in which the EBRD implements its commitment to promoting “environmentally sound and sustainable development”. The ESP and the ESRs include specific provisions for clients to comply with the applicable requirements of national laws on public information and consultation, and to establish a grievance mechanism to receive and facilitate resolution of stakeholders’ concerns and grievances, in particular, about the environmental and social (E&S) performance of the client and the project. Proportionate to the nature and scale of a project’s environmental and social risks and impacts, the EBRD also requires its clients to disclose information, as appropriate, about the risks and impacts of projects or to undertake meaningful consultation with stakeholders and consider and respond to their feedback.

Integrity and compliance

The EBRD's Office of the Chief Compliance Officer (OCCO) promotes good governance and ensures that the highest standards of integrity are applied to all of the Bank's activities in accordance with international best practice. Integrity due diligence is conducted on all Bank clients to ensure that projects do not present unacceptable integrity or reputational risks to the Bank. The EBRD believes that identifying and resolving issues in the project assessment and approval stages is the most effective means of ensuring the integrity of Bank transactions. OCCO plays a key role in these protective efforts andhelps to monitor integrity risks in projects post-investment.

OCCO is further responsible for investigating allegations of fraud, corruption and misconduct in EBRD-financed projects. Anyone, either within or outside the Bank, who suspects fraud or corruption should submit a written report to the Chief Compliance Officer by email to compliance@ebrd.com. OCCO will follow-up all matters reported. It will review all matters reported. Reports can be made in any language of the Bank or of the Bank's countries of operation. The information provided must be made in good faith.

Independent Project Accountability Mechanism (IPAM)

If efforts to address environmental, social or public disclosure concerns with the Client or the Bank are unsuccessful (for example, through the client’s project-level grievance mechanism or through direct engagement with Bank management), individuals and organisations may seek to address their concerns through the EBRD’s Independent Project Accountability Mechanism (IPAM).

IPAM independently reviews project issues that are believed to have caused (or to be likely to cause) harm. The purpose of the mechanism is: to support dialogue between project stakeholders to resolve environmental, social and public disclosure issues; to determine whether the Bank has complied with its Environmental and Social Policy or the project-specific provisions of its Access to Information Policy; and where applicable, to address any existing non-compliance with these policies, while preventing future non-compliance by the Bank.
