Overview

A senior unsecured local currency denominated loan sub limit* of up to EUR 10 million equivalent with a tenor of 3 years to be provided to OTP Leasing LLC ("OTPL", the "PFI") in Ukraine. This medium-term local currency funding will be provided under the EBRD's FIF - EaP SMECI Framework and will be used by OTPL for on-lending to private SMEs in Ukraine.

*This sub-limit is part of EBRD's broader LCY facility to OTPL, covered by OpIDs 56845 and 56846 (under Resilience and Livelihoods Framework and Financial Intermediaries Framework, respectively), jointly referred to as the LCY Facility.

Project Description

Project Objectives

This Project will finance long-term capital investments of SMEs to upgrade their technologies and equipment to EU standards, including investments in sustainable and green technologies (at least 70% of the sub-limit), thereby enhancing their competitiveness. Eligible sub-borrowers will also receive EU-funded technical assistance and grant support in the form of investment incentives upon the completion of their investment projects.

The Project will support the Competitive, Resilient and Inclusive TI qualities.

Competitive: Improve MSMEs' technology investments in line with EU standards, enhancing competitiveness in domestic and export markets;
Resilient: Reinforce the lending capacity of OTPL and help maintain sound funding profile;
Inclusive: Support financial inclusion of acutely war-affected vulnerable groups, including MSMEs that suffered asset loss or destruction, war veterans, etc.

OTP LEASING LLC

OTP Leasing LLC ("OTPL", the "PFI") is the leading leasing company in Ukraine with ca. 40% market share in terms of leasing portfolio at end-3Q2025, proven track record and a viable business model. OTPL provides financial leases and fleet management services to corporate and SME clients across the country.

Additionality

Response to the military invasion: The loan is undertaken in extraordinary circumstances of the military invasion of the territory of Ukraine by the Russian Federation enabling medium and long-term financing of Ukrainian SMEs in the local currency.

Knowledge, innovation, and capacity building: The PFI and MSME sub-borrowers will benefit from technical assistance for project structuring and implementation. Eligible sub-borrowers will receive financial incentives for successfully implemented investment sub-projects.

Gender Additional: A certain portion of financing will be dedicated to women-led MSMEs.

Technical Cooperation and Grant Financing

TC and non-TC under the FIF - EaP SMECI funded line: MSME sub-borrowers will benefit from financial incentives for eligible sub-projects, while the PFI will receive technical assistance from dedicated consultants towards investment project preparation and implementation.

TC: The PFI will benefit from a dedicated TA programme supporting the economic reintegration of the PFI and SME sub-borrowers' mobilised employees, as well as the financial inclusion of veterans as clients of the PFI.

Non-TC: The Project will benefit from LCY Interest Rate Subsidy to reduce EBRD's funding cost to bring the interest rate of the UAH facility to acceptable market level. The expected source of donor funds for the LCY Subsidy is the EBRD SME Special Fund supported by the USA.

Environmental and Social Policy (ESP)

The ESP and its associated Environmental and Social Requirements (ESRs) set out the ways in which the EBRD implements its commitment to promoting “environmentally sound and sustainable development”. The ESP and the ESRs include specific provisions for clients to comply with the applicable requirements of national laws on public information and consultation, and to establish a grievance mechanism to receive and facilitate resolution of stakeholders’ concerns and grievances, in particular, about the environmental and social (E&S) performance of the client and the project. Proportionate to the nature and scale of a project’s environmental and social risks and impacts, the EBRD also requires its clients to disclose information, as appropriate, about the risks and impacts of projects or to undertake meaningful consultation with stakeholders and consider and respond to their feedback.

Integrity and compliance

The EBRD's Office of the Chief Compliance Officer (OCCO) promotes good governance and ensures that the highest standards of integrity are applied to all of the Bank's activities in accordance with international best practice. Integrity due diligence is conducted on all Bank clients to ensure that projects do not present unacceptable integrity or reputational risks to the Bank. The EBRD believes that identifying and resolving issues in the project assessment and approval stages is the most effective means of ensuring the integrity of Bank transactions. OCCO plays a key role in these protective efforts andhelps to monitor integrity risks in projects post-investment.

OCCO is further responsible for investigating allegations of fraud, corruption and misconduct in EBRD-financed projects. Anyone, either within or outside the Bank, who suspects fraud or corruption should submit a written report to the Chief Compliance Officer by email to compliance@ebrd.com. OCCO will follow-up all matters reported. It will review all matters reported. Reports can be made in any language of the Bank or of the Bank's countries of operation. The information provided must be made in good faith.

The AIP, which entered into force on 1 January 2025, sets out how the EBRD discloses information and consults with its stakeholders to promote better awareness and understanding of its strategies, policies and operations. Independent Project Accountability Mechanism (IPAM)

If efforts to address environmental, social or public disclosure concerns with the Client or the Bank are unsuccessful (for example, through the client’s project-level grievance mechanism or through direct engagement with Bank management), individuals and organisations may seek to address their concerns through the EBRD’s Independent Project Accountability Mechanism (IPAM).

IPAM independently reviews project issues that are believed to have caused (or to be likely to cause) harm. The purpose of the mechanism is: to support dialogue between project stakeholders to resolve environmental, social and public disclosure issues; to determine whether the Bank has complied with its Environmental and Social Policy or the project-specific provisions of its Access to Information Policy; and where applicable, to address any existing non-compliance with these policies, while preventing future non-compliance by the Bank.
