Overview

Provision of a senior unsecured loan in local currency of up to EGP 250 million (EUR 4.5 million equivalent) in favour of Fawry MSME Finance ("Fawry MSME"). The loan is under the Egypt Youth in Business ("Egypt YiB") programme to on-lend to private youth-led and/or owned MSMEs in Egypt, particularly in remote regions. The loan will also be accompanied by a comprehensive package of technical cooperation, first-loss risk cover, and incentives, funded by the EU Neigbourhood Investment Facility, the EBRD's Shareholder Special Fund, and the EU - Egypt Micro and Small Inclusion Programme, aimed at strengthening the capabilities of Fawry MSME and the sub-borrowers while alleviating the impact of macroeconomic turbulences on end-beneficiaries.

Project Description

Project Objectives

The loan aims at opening up economic opportunities for young people and promoting their access to finance by supporting the development of youth-led and/or owned enterprises and the non-bank financial services industry in Egypt. The proceeds will be used to support lending to eligible privately-owned youth-led MSMEs under the Egypt Youth in Business Programme ("Egypt YiB", the "Programme"), with a focus on regional outreach and attraction of new youth MSME clients.

The project falls under the Egypt YiB programme and, as such, is expected to contribute to the Inclusive and Competitive transition impact qualities.

Under the Inclusive quality, the project will help Fawry MSME adopt new lending practices and business models targeted at young people, helping the microfinance institution expand its lending in favour of this underserved segment. Complementary technical cooperation, implemented through EBRD's Advice for Small Businesses programme, will strengthen the entrepreneurial and managerial capacities of sub-borrowers.

Under the Competitive quality, the project will contribute to the expansion of Fawry MSME's portfolio of loans to youth-led and/or owned MSMEs by reaching new clients, while maintaining a minimum regional share and sound asset quality.

FAWRY MSME FINANCE

Fawry MSME Finance (or "Fawry MSME") is a pioneering digital finance company established in 2018 by Fawry for Banking Technology and Electronic Payments S.A.E (or "Fawry"; the "parent"), Egypt's leading fully-integrated FinTech platform offering a wide range of services, including e-payments and digital solutions, founded in 2008 and listed on the EGX since 2019. The Company operates in Egypt and has achieved rapid growth, establishing itself as a well-recognized player among Egyptian MFIs, becoming the sixth largest player as of YE2024. Fawry MSME operates without physical branches, leveraging a network of over 380 Fawry Plus outlets and digital platforms to reach clients across 26 governorates.

Additionality

The loan offers a combination of (i) longer-term financing than what is available in the market, (ii) technical expertise dedicated to capacity building and (iii) gender-mainstreaming activities into a comprehensive package that promotes financing for private youth-led and/or owned MSMEs in Egypt.

Green assessments

The project is determined aligned with the Paris Agreement based on the application of the EBRD's Paris alignment approach for indirectly financed investments. The alignment determination is based on the application of Pillar 1 (counterparty commitment to the Paris Agreement) and Pillar 2 (sub-transactions filter).

Technical Cooperation and Grant Financing

The loan will be accompanied by: (i) a technical cooperation ("TC") programme to support Fawry MSME through tailored capacity building, including an assessment of its organizational capabilities, Youth MSME portfolio, and strategic priorities. The TC will deliver internal training, product development support, marketing and awareness activities, and implementation assistance, funded by the EBRD's Shareholder Special Fund ("SSF"), (ii) non-financial services ("NFS") delivered directly to Youth MSMEs (SME TC) via EBRD's Advice for Small Businesses programme, funded by the EU Neighbourhood Investment Facility and SSF. These services will include advisory support, trainings, workshops, mentoring, e-learning, and peer networking, designed to enhance the competitiveness and business capabilities of Youth MSMEs while aligning with Fawry MSME's commercial priorities, (iii) the development of a training module to Fawry MSME on gender-responsive lending in collaboration with EBI, and (iv) a Digital Transformation Support Programme to Fawry MSME, aimed at reviewing and enhancing its credit scoring models, risk governance, and use of AI and machine learning tools, with the goal of developing a digital roadmap to strengthen its risk framework, funded by SSF.

The loan will also be accompanied by first-loss risk cover of up to 10% of the disbursed YiB sub-loan portfolio for the benefit of Fawry MSME, and incentive grants will be provided to eligible micro and small sub-borrowers. Grant support will be funded by SSF and the EU.

Environmental and Social Policy (ESP)

The ESP and its associated Environmental and Social Requirements (ESRs) set out the ways in which the EBRD implements its commitment to promoting “environmentally sound and sustainable development”. The ESP and the ESRs include specific provisions for clients to comply with the applicable requirements of national laws on public information and consultation, and to establish a grievance mechanism to receive and facilitate resolution of stakeholders’ concerns and grievances, in particular, about the environmental and social (E&S) performance of the client and the project. Proportionate to the nature and scale of a project’s environmental and social risks and impacts, the EBRD also requires its clients to disclose information, as appropriate, about the risks and impacts of projects or to undertake meaningful consultation with stakeholders and consider and respond to their feedback.

Integrity and compliance

The EBRD's Office of the Chief Compliance Officer (OCCO) promotes good governance and ensures that the highest standards of integrity are applied to all of the Bank's activities in accordance with international best practice. Integrity due diligence is conducted on all Bank clients to ensure that projects do not present unacceptable integrity or reputational risks to the Bank. The EBRD believes that identifying and resolving issues in the project assessment and approval stages is the most effective means of ensuring the integrity of Bank transactions. OCCO plays a key role in these protective efforts andhelps to monitor integrity risks in projects post-investment.

OCCO is further responsible for investigating allegations of fraud, corruption and misconduct in EBRD-financed projects. Anyone, either within or outside the Bank, who suspects fraud or corruption should submit a written report to the Chief Compliance Officer by email to compliance@ebrd.com. OCCO will follow-up all matters reported. It will review all matters reported. Reports can be made in any language of the Bank or of the Bank's countries of operation. The information provided must be made in good faith.

Independent Project Accountability Mechanism (IPAM)

If efforts to address environmental, social or public disclosure concerns with the Client or the Bank are unsuccessful (for example, through the client’s project-level grievance mechanism or through direct engagement with Bank management), individuals and organisations may seek to address their concerns through the EBRD’s Independent Project Accountability Mechanism (IPAM).

IPAM independently reviews project issues that are believed to have caused (or to be likely to cause) harm. The purpose of the mechanism is: to support dialogue between project stakeholders to resolve environmental, social and public disclosure issues; to determine whether the Bank has complied with its Environmental and Social Policy or the project-specific provisions of its Access to Information Policy; and where applicable, to address any existing non-compliance with these policies, while preventing future non-compliance by the Bank.
