Project description

Provision of up to EUR 2,650 million for Window II under the third Green Cities Framework ('GrCF3 W2'), to support investments related to Green Cities.

Project objectives

The over-arching aim of the third Green Cities Framework ('GrCF3', or 'Framework') is to continue to serve as a sector-wide catalyst for addressing climate and environmental challenges at the city level. This will be achieved through the preparation and subsequent implementation of Green City Action Plans ('GCAP'). GCAP methodology takes a systematic approach to identifying, benchmarking, prioritising and guiding green city actions by cities while maintaining a strong connection to other key national or local strategic documents.

The process involves four steps:

Green city baseline and priority setting: measuring the current status of climate and environmental challenges in the city based on a comprehensive indicator database and identifying the priority climate and environmental challenges that need to be addressed.
Development of the GCAP document: preparing a document that articulates the city's vision, strategic objectives and priority investments and policy measures to address priority climate and environmental challenges and meet the objectives.
Implementation: execution of the GCAP.
Monitoring and evaluation: monitoring the GCAP results and updating the GCAP as necessary.

Beyond GCAPs, each sub-Projects will address company financial and operational performance, together with implementation capacity, where required, and support their access to capital markets, contribute to increasing gender and economic inclusion and integration of digital/smart solutions (where applicable).

Client information

The Clients (borrowers) for the GrCF3 W2 will include sovereigns, municipalities, municipal owned utility companies, private companies and other sovereign entities supporting green city investments for the purpose of investing in green urban infrastructure in all regions where the EBRD operates.

The GrCF3 W2 will consist of sovereign and non-sovereign loans, bonds, and guarantees, in an aggregate amount of up to EUR 2,650 million.

The GrCF3 will benefit from co-financing and technical cooperation assignments, funded by international donors, to support preparation and implementation of sub-Projects.

Additionality

Additionality is determined for each sub-Project with the key dimensions likely to include mobilisation of concessional loans and grants, focus on sub-national financing including crowding in the private sector, the impact of the network and through this, knowledge sharing, scaling-up and going deeper into cities and the GCAP as a delivery tool.

Environmental & Social Summary

The Framework itself is not categorised. Each sub-Project will be individually categorised and will be subject to sub-Project specific Environmental and Social Due Diligence. The sub-Projects under the Framework will comply with the Bank's Environmental and Social Policy and the Green Cities eligibility criteria. Each sub-Project will be screened for alignment with the Paris Agreement. GET share will be confirmed for each sub-Project separately at final review stage. All sub-Projects categorised as "A" will be submitted to Board for approval regardless of the size of the loan.

Technical Cooperation and Grant Financing

A comprehensive technical cooperation ('TC') package is envisaged to be deployed in support of the Framework and sub-Projects. The TC assignments will be deployed taking into account country and city specifics, designed to the specific needs of each Client identified as part of the project structuring. The following TC assignments are envisaged for sub-Projects implemented under the Framework:

Gender Advisory Services
Environmental and Social Assessment
Project Implementation Support
Capacity Building Support TCs
Civil Society Capacity Building

The TCs are expected to be funded by bilateral or multilateral donors and EBRD Shareholder Special Fund.

Environmental and Social Policy (ESP)

The ESP and its associated Environmental and Social Requirements (ESRs) set out the ways in which the EBRD implements its commitment to promoting “environmentally sound and sustainable development”. The ESP and the ESRs include specific provisions for clients to comply with the applicable requirements of national laws on public information and consultation, and to establish a grievance mechanism to receive and facilitate resolution of stakeholders’ concerns and grievances, in particular, about the environmental and social (E&S) performance of the client and the project. Proportionate to the nature and scale of a project’s environmental and social risks and impacts, the EBRD also requires its clients to disclose information, as appropriate, about the risks and impacts of projects or to undertake meaningful consultation with stakeholders and consider and respond to their feedback.

Integrity and compliance

The EBRD's Office of the Chief Compliance Officer (OCCO) promotes good governance and ensures that the highest standards of integrity are applied to all of the Bank's activities in accordance with international best practice. Integrity due diligence is conducted on all Bank clients to ensure that projects do not present unacceptable integrity or reputational risks to the Bank. The EBRD believes that identifying and resolving issues in the project assessment and approval stages is the most effective means of ensuring the integrity of Bank transactions. OCCO plays a key role in these protective efforts andhelps to monitor integrity risks in projects post-investment.

OCCO is further responsible for investigating allegations of fraud, corruption and misconduct in EBRD-financed projects. Anyone, either within or outside the Bank, who suspects fraud or corruption should submit a written report to the Chief Compliance Officer by email to compliance@ebrd.com. OCCO will follow-up all matters reported. It will review all matters reported. Reports can be made in any language of the Bank or of the Bank's countries of operation. The information provided must be made in good faith.

The AIP, which entered into force on 1 January 2025, sets out how the EBRD discloses information and consults with its stakeholders to promote better awareness and understanding of its strategies, policies and operations. Independent Project Accountability Mechanism (IPAM)

If efforts to address environmental, social or public disclosure concerns with the Client or the Bank are unsuccessful (for example, through the client’s project-level grievance mechanism or through direct engagement with Bank management), individuals and organisations may seek to address their concerns through the EBRD’s Independent Project Accountability Mechanism (IPAM).

IPAM independently reviews project issues that are believed to have caused (or to be likely to cause) harm. The purpose of the mechanism is: to support dialogue between project stakeholders to resolve environmental, social and public disclosure issues; to determine whether the Bank has complied with its Environmental and Social Policy or the project-specific provisions of its Access to Information Policy; and where applicable, to address any existing non-compliance with these policies, while preventing future non-compliance by the Bank.
