Overview

The provision of a senior secured loan increase of up to EUR 3 million to Gebrüder Weiss LLC (the "Borrower"), a company offering logistics and transportation services in Georgia. This financing aims to support the expansion of the Borrower's intermodal logistics terminal located near Tbilisi. Gebruder Weiss LLC is a subsidiary of Gebruder Weiss GmbH (the "Guarantor"), a global transport and logistics firm headquartered in Austria.

The original loan was provided in 2013 of up to EUR 3 million (of which committed EUR 2.75 million) to finance the construction of a greenfield intermodal logistics terminal, addressing the needs for quality logistics services and warehousing infrastructure, modern supply chain management as well as cost-efficient and flexible transport services. The terminal has been operational since 2013.

The objective is to facilitate the development of the logistics intermodal terminal into a hub for the Caucasus region, serving as a strategically significant nexus between the markets of Asia and Europe.

Additionality

The Bank's additionality derives from the tenor and repayment structure of the proposed loan, which is necessary to undertake the capital expenditure programme for the warehouse expansion. Local banks mainly provide shorter tenor loans with a restrictive repayment schedule, limiting the company's capacity to implement investment programmes.

The Client makes use of the EBRD expertise over energy and resource efficiency and climate resilience financing via the provision of minimum performance standards of technologies, monitoring, reporting and verification systems.

The Client makes use of the EBRD expertise on higher financial standards, including through financial covenants.

Environmental & Social Summary

Categorised B (ESP 2019). An Environmental and Social Due Diligence (ESDD) confirmed that the Project will have limited environmental and social impacts, which will be mitigated by a number of measures established in the Environmental and Social Action Plan (ESAP).

The ESDD has been performed by the external environmental and social consultant in the form of a completed questionnaire, desktop screening assessment and interviews with the Company management and specialists. The ESDD included a review of the corporate management standards and practices, environmental performance status and compliance track records and also an analysis of the Project related environmental and social risks and impacts.

The ESDD confirmed that the Company has a management system with relevant integrated environmental and social components and complies with the local regulatory requirements. Potential project-related environmental and social impacts will be limited to the construction areas, without affecting neighbouring communities or any protected natural zones, and will be readily managed by the number of measures required by the national legislation and included in the ESAP applied for the Project design, construction and operational phases. The ESAP has been approved by the Company and includes the requirements to further improve an Environmental, Health and Safety management system. The Project implementation will be continuously monitored via annual environmental and social monitoring reports and by site visits if necessary.

Environmental and Social Policy (ESP)

The ESP and its associated Environmental and Social Requirements (ESRs) set out the ways in which the EBRD implements its commitment to promoting “environmentally sound and sustainable development”. The ESP and the ESRs include specific provisions for clients to comply with the applicable requirements of national laws on public information and consultation, and to establish a grievance mechanism to receive and facilitate resolution of stakeholders’ concerns and grievances, in particular, about the environmental and social (E&S) performance of the client and the project. Proportionate to the nature and scale of a project’s environmental and social risks and impacts, the EBRD also requires its clients to disclose information, as appropriate, about the risks and impacts of projects or to undertake meaningful consultation with stakeholders and consider and respond to their feedback.

Integrity and compliance

The EBRD's Office of the Chief Compliance Officer (OCCO) promotes good governance and ensures that the highest standards of integrity are applied to all of the Bank's activities in accordance with international best practice. Integrity due diligence is conducted on all Bank clients to ensure that projects do not present unacceptable integrity or reputational risks to the Bank. The EBRD believes that identifying and resolving issues in the project assessment and approval stages is the most effective means of ensuring the integrity of Bank transactions. OCCO plays a key role in these protective efforts andhelps to monitor integrity risks in projects post-investment.

OCCO is further responsible for investigating allegations of fraud, corruption and misconduct in EBRD-financed projects. Anyone, either within or outside the Bank, who suspects fraud or corruption should submit a written report to the Chief Compliance Officer by email to compliance@ebrd.com. OCCO will follow-up all matters reported. It will review all matters reported. Reports can be made in any language of the Bank or of the Bank's countries of operation. The information provided must be made in good faith.

Independent Project Accountability Mechanism (IPAM)

If efforts to address environmental, social or public disclosure concerns with the Client or the Bank are unsuccessful (for example, through the client’s project-level grievance mechanism or through direct engagement with Bank management), individuals and organisations may seek to address their concerns through the EBRD’s Independent Project Accountability Mechanism (IPAM).

IPAM independently reviews project issues that are believed to have caused (or to be likely to cause) harm. The purpose of the mechanism is: to support dialogue between project stakeholders to resolve environmental, social and public disclosure issues; to determine whether the Bank has complied with its Environmental and Social Policy or the project-specific provisions of its Access to Information Policy; and where applicable, to address any existing non-compliance with these policies, while preventing future non-compliance by the Bank.
