Background
The European Bank for Reconstruction and Development (“EBRD” or “the Bank”) is considering providing financing to the Republic of Moldova to modernise the district heating (“DH”) system (the “Project”) operated by Termoelectrica JSC (the “Client”) for the benefit of the City of Chisinau (the “City”).
The City is the largest city and the capital of the Republic of Moldova. It has a population of ~800,000, representing nearly one-third of the total population of the country. The Client, a wholly state-owned company provides district heating (“DH”) services in the City. It is a major electricity producer in Moldova and the largest supplier of thermal energy in the country. It operates two combined heat and power (“CHP”) plants, two large heat-only plants, one modular biomass heat plant and 19 suburban heating plants. The Client employs 1,800 staff and serves 4,400 buildings or ~500,000 consumers, over 60 per cent of Chisinau’s population.
Services
The Client intends to tender Project Implementation Unit (PIU) Support Consultancy Services financed out of Grant funds from European Bank for Reconstruction and Development (EBRD). The tender launch is planned in November 2025. This procurement exercise will be conducted using the EBRD Client E- Procurement Portal (ECEPP). As part of the preparatory activities the Client will hold a preliminary market consultation in October 2025.
The Contract for provision of consultancy services will aim to assist in implementation of the Project (incl. project and financial management systems, environmental, energy efficiency, health and safety and social management systems, preparation of tender documents, evaluation).
The services under the Assignment are split into two consecutive phases comprising the following main tasks:
In Phase-I: preparation Inception report, data collection for establishing the list of buildings that will be included in the Project (including structural survey and energy audits, and survey of the residents) and the development of the Employers Requirements (including the detailed design documentation) for the selected buildings, market survey of the prospective participants in the tendering process, Tender Documents and conducting procurement activities for the components to be financed under the Project as defined in the Procurement Plant included in Annex 1 to this TOR;
In Phase-II: Contracts administration, monitoring of supervision of the performance of works execution and delivery of goods, final monitoring and verification report for buildings and reporting on compliance with environmental and social Project performance requirements and energy efficiency requirements as described in this ToR and the Client’s reporting obligations to the EBRD in accordance with the Financing Documents.
The project proceeds will finance demand side measures:
- Energy efficiency measures in the pilot residential buildings
- Construction of horizontal networks in buildings
- Supply and installation of individual heating sub-stations in buildings (“IHS”)
- Rehabilitation of selected sections of the DH distribution network and
- Construction of a new pumping station.

In close cooperation with the Bank, the Client is carrying out market consultations with prospective consultants to develop an optimal procurement and implementation strategy(ies) for the Project. The main purpose of the event is to assess the immediate and prospective consultants’ availability and test the risk appetite of the market in the context of the current situation in the region. The event will give the opportunity to interested companies to provide feedback and voice any concerns they may have.
