The European Bank for Reconstruction and Development (EBRD) is providing a sustainability-linked loan of US$ 250 million to support Yeni Mağazacılık’s acquisition of CarrefourSA Carrefour Sabanci Ticaret Merkezi (CarrefourSA) in Türkiye.

The facility comprises a loan of US$ 200 million for the EBRD’s own account and a loan of US$ 50 million syndicated to FMO, the Dutch entrepreneurial development bank.

This is a landmark transaction for Türkiye’s retail sector that is expected to strengthen Yeni Mağazacılık’s nationwide platform, enhance its multi-format and omni-channel offering, and support the development of a more integrated retail ecosystem, creating additional opportunities for growth and long-term value creation across the value chain. Yeni Mağazacılık exists under the holding group of Aydin Grup.

The EBRD’s facility is structured as a sustainability-linked loan, with key performance indicators focused on increasing renewable electricity use, reducing single-use plastic through reusable crate systems and improving women’s representation in management.

Elisabetta Falcetti, EBRD Managing Director for Türkiye and the Caucasus, said: “Through this financing we are supporting Yeni Mağazacılık in a landmark transaction that can strengthen Türkiye’s food retail sector while delivering clear sustainability and inclusion outcomes. We are proud to be standing with Yeni Mağazacılık on this important threshold as it expands its retail network, broadens its customer reach and continues investing in more sustainable and inclusive business practices across operations in Türkiye.”

Aydın Group Chief Financial Officer, Osman Yilmaz, said: “This financing marks an important milestone in Yeni Mağazacılık’s growth and reflects the confidence of leading international financial institutions in our strategy and sustainability agenda. By securing long-term financing from the EBRD and FMO, we are entering this transaction with a strong and resilient capital structure that supports disciplined and sustainable growth. The acquisition of CarrefourSA will strengthen our position in Türkiye’s retail sector and we are pleased to partner with the EBRD and FMO on a transaction that supports both our growth ambitions and commitment to responsible business practices”.

The EBRD is a key institutional investor in Türkiye, having committed more than €25 billion in the country since 2009, largely in the private sector.
