Provision of a senior unsecured loan of up to EUR 5.0 million in two tranches (a first tranche of EUR 1.25 million and a second tranche of EUR 3.75 million) to Raiffeisen Bank Kosovo JSC ("RBKO") under the Regional SME Competitiveness Support Programme ("CSP").
The project will support investments by SMEs to upgrade production facilities and comply with EU Directives in environmental protection, workers' and product safety and product quality. The eligible investments will be selected based on the technical and financial eligibility criteria set forth in the Policy Statement for the Regional SME Competitiveness Support Programme. Support to SMEs is tailored as a combination of access to finance with TC and non-TC assistance. At least 60% of the use of the proceeds will go towards financing GET-eligible investments in line with the Policy Statement.

The project contributes to the objectives of the Regional SME-CSP, supporting the competitive and resilient TI qualities.
Competitive: The project will contribute to: (i) supporting SMEs in accessing finance towards EU standards investments; and (ii) assisting SMEs to access advice and know-how for introducing and implementing EU standards and becoming competitive.
Resilient: Sub-borrowers will be expected to be commercially viable, which will be reflected in the expected strong underwriting expertise and adequate portfolio quality of the PFIs.
RAIFFEISEN BANK KOSOVO JSC
RBKO, a subsidiary of Raiffeisen Bank International ("RBI"), is the largest commercial bank in Kosovo with EUR 1,022 million in total assets as of YE 2019 (23.3% of the system's total). The entity is headquartered in Pristina and has the largest network in the country with 45 branches and 870 employees as of YE 2019. It operates as a fully owned subsidiary of RBI that is rated A3 (stable) by Moody's and A- (negative) by S&P.

Additionality is achieved by combining long-term financing in the form of a senior loan with technical support and targeted investment incentives into a package that promotes investments that will improve the competitiveness of local SMEs.
Environmental and Social Summary
Categorised FI (ESP 2019). Raiffeisen Bank Kosovo's completed EBRD E&S due diligence questionnaire confirmed the client implemented RBI's organisation-wide Environmental and Social Management System (ESMS). Following the stipulation of Performance Requirement 9, paragraph 8, EBRD will accept the application of the IFC's Performance Standards for this transaction (more specifically, the Worldbank / MIGA Environmental and Social Covenants) which are largely aligned with EBRD PRs; however the client will need to implement additional E&S EBRD provisions such as the EBRD's Exclusion list, Category A definition, and Referral requirement, as well as PR2/4 compliance. RBKO will also be asked to undertake an E&S risk screening for exposures under 5mln (currently not required by IFC/MIGA provisions). RBKO will report to EBRD on an annual basis on E&S issues.
Technical Cooperation and Grant Financing
TC: TC will include support for Programme Consultants that will assist with the implementation, marketing and monitoring of the Programme and a separate verification of the technical implementation of the investments by the Sub-borrowers before the incentive payment is released.
Non-TC: EUR 750,000 for incentives to Sub-borrowers for implementation of eligible investments in line with CSP WB Policy Statement.
The TC and the Non-TC resources are provided by the European Union.

Environmental and Social Policy (ESP)
The ESP and the associated Performance Requirements (PRs) set out the ways in which the EBRD implements its commitment to promoting “environmentally sound and sustainable development”. The ESP and the PRs include specific provisions for clients to comply with the applicable requirements of national laws on public information and consultation as well as to establish a grievance mechanism to receive and facilitate resolution of stakeholders’ concerns and grievances, in particular, about environmental and social performance of the client and the project. Proportionate to the nature and scale of a project’s environmental and social risks and impacts, the EBRD additionally requires its clients to disclose information, as appropriate, about the risks and impacts arising from projects or to undertake meaningful consultation with stakeholders and consider and respond to their feedback.

Integrity and Compliance
The EBRD's Office of the Chief Compliance Officer (OCCO) promotes good governance and ensures that the highest standards of integrity are applied to all activities of the Bank in accordance with international best practice. Integrity due diligence is conducted on all Bank clients to ensure that projects do not present unacceptable integrity or reputational risks to the Bank. The Bank believes that identifying and resolving issues at the project assessment approval stages is the most effective means of ensuring the integrity of Bank transactions. OCCO plays a key role in these protective efforts, and also helps to monitor integrity risks in projects post-investment.
OCCO is also responsible for investigating allegations of fraud, corruption and misconduct in EBRD-financed projects. Anyone, both within or outside the Bank, who suspects fraud or corruption should submit a written report to the Chief Compliance Officer by email to firstname.lastname@example.org. All matters reported will be handled by OCCO for follow-up. All reports, including anonymous ones, will be reviewed. Reports can be made in any language of the Bank or of the Bank's countries of operation. The information provided must be made in good faith.

Independent Project Accountability Mechanism (IPAM)
If efforts to address environmental, social or public disclosure concerns with the Client or the Bank are unsuccessful (e.g. through the Client’s Project-level grievance mechanism or through direct engagement with Bank management), individuals and organisations may seek to address their concerns through the EBRD’s Independent Project Accountability Mechanism (IPAM).
IPAM independently reviews Project issues that are believed to have caused (or to be likely to cause) harm. The purpose of the Mechanism is: to support dialogue between Project stakeholders to resolve environmental, social and public disclosure issues; to determine whether the Bank has complied with its Environmental and Social Policy or Project-specific provisions of its Access to Information Policy; and where applicable, to address any existing non-compliance with these policies, while preventing future non-compliance by the Bank.
