The provision of a sovereign loan of up to US$ 95 million to the Republic of Uzbekistan for the acquisition of electric buses ("e-buses") and associated infrastructure (including charging stations and depots) for the city of Samarkand (the project). The project will serve as a 'trigger' investment under the EBRD Green Cities, formally initiating the participation of the city of Samarkand in the programme. Through the project, the city will commit to develop a Green City Action Plan (GCAP)
The Project will address critical demand in the new e-buses to establish a reliable public transportation service in Samarkand and ensure its sustainable operations. The shift to electric mobility will significantly reduce greenhouse gas emissions and eliminate tail pipe air pollutant emissions.

The EBRD offers a tenor and/or a grace period above the market average, which is necessary to structure the project. The EBRD investment is needed to close the funding gap. At the same time, the EBRD does not crowd out other sources, such as from IFIs, government, commercial banks and/or complements them.
The Bank will support the client in achieving higher standards through its conditionalities (e.g. Procurement Policies and Rules, ESAP).
The EBRD provides expertise, innovation, knowledge and/or capabilities that are material to the timely realisation of the project's objectives, including support to strengthen the capacity of the client.
Environmental and Social Summary
Categorised B (2019 ESP) and Low-Medium Risk. Key E&S impacts / risks include occupational and public health & safety, management of existing maintenance / workshops and refueling stations including the potential for land contamination, hazardous materials management, road safety performance and human resources. Environmental and Social Due Diligence (ESDD) is underway and is in line with the ESD ESDD response to COVID-19. It is carried out by an independent consultant together with technical and financial due diligence. ESDD will focus on the key E&S risks and additionally, on accessibility, affordability, GBVH and safety of vulnerable groups, exposed to public transport along with stakeholder engagement and current grievance mechanisms. Opportunities related to addressing gender, inclusion will also be explored. Covid-19 arrangements and compliance with national requirements will also be confirmed and good practice pandemic resilience measures will be proposed. Post-signing TC support may be necessary for ESAP implementation and capacity support.
Technical Cooperation and Grant Financing
TC 1: Technical, procurement and financial due diligence to include: (i) technical feasibility of bus fleet and related facilities (depot location and availability of land and utilities connections) including e-bus market and technology assessment; (ii) project scoping, costing and investment plan, based on demand and operational study; (iii) calculation of emissions benefits and economic internal rate of return; (iv) environmental and social (including gender) due diligence, including an affordability analysis; (v) institutional, regulatory structure for bus operations, including operating contract, or PSC, (vi) bus operational structure and maintenance arrangements, (vii) preparation of technical specification for fleet and concept design for depots and charging stations and technical support during procurement.
TC 2: Advance procurement of fleet to include: (i) preparation of the tender documents based on the specification prepared under TC1 (ii) assistance through tender processes, (iii) preparation of the tender evaluation report, (iv) assistance with contracts' signing.
TC 3: Advance procurement of e-bus infrastructure to include: (i) preparation of the tender documents based on the specification prepared under TC1 (ii) assistance through tender processes, (iii) preparation of the tender evaluation report, (iv) assistance with contracts' signing.
TC 4: Institutional and Capacity Building support for the City and to-be-established bus company to (i) support establishing the Company; (ii) support all necessary processes, procedures and routines for service planning, organisation and monitoring of operations, maintenance and repairs of the fleet and fare revenue collection and enforcement; (iii) prepare detailed service plan including timetables and drivers schedules; (iv) develop and assist with tendering, negotiations and signing of the PSC; (v) provide support for capacity building of Oblast administration for implementation of PSC; (vi) provide support for communication strategy, marketing and graphics and (vii) support reception of bus fleets and facilities (depot) and initiation of bus services.
TC 5: Green City Action Plan ("GCAP") covers the development of a GCAP for the City in order to prioritise investments, capacity building and policy objectives in support of the green agenda. The GCAP methodology includes inclusion and gender considerations.
TC 6: Pre-shipment inspection of buses to include: pre-shipment inspections of the buses at the manufacturer's premises.

Environmental and Social Policy (ESP)
The ESP and the associated Performance Requirements (PRs) set out the ways in which the EBRD implements its commitment to promoting “environmentally sound and sustainable development”. The ESP and the PRs include specific provisions for clients to comply with the applicable requirements of national laws on public information and consultation as well as to establish a grievance mechanism to receive and facilitate resolution of stakeholders’ concerns and grievances, in particular, about environmental and social performance of the client and the project. Proportionate to the nature and scale of a project’s environmental and social risks and impacts, the EBRD additionally requires its clients to disclose information, as appropriate, about the risks and impacts arising from projects or to undertake meaningful consultation with stakeholders and consider and respond to their feedback.

Integrity and Compliance
The EBRD's Office of the Chief Compliance Officer (OCCO) promotes good governance and ensures that the highest standards of integrity are applied to all activities of the Bank in accordance with international best practice. Integrity due diligence is conducted on all Bank clients to ensure that projects do not present unacceptable integrity or reputational risks to the Bank. The Bank believes that identifying and resolving issues at the project assessment approval stages is the most effective means of ensuring the integrity of Bank transactions. OCCO plays a key role in these protective efforts, and also helps to monitor integrity risks in projects post-investment.
OCCO is also responsible for investigating allegations of fraud, corruption and misconduct in EBRD-financed projects. Anyone, both within or outside the Bank, who suspects fraud or corruption should submit a written report to the Chief Compliance Officer by email to firstname.lastname@example.org. All matters reported will be handled by OCCO for follow-up. All reports, including anonymous ones, will be reviewed. Reports can be made in any language of the Bank or of the Bank's countries of operation. The information provided must be made in good faith.

Independent Project Accountability Mechanism (IPAM)
If efforts to address environmental, social or public disclosure concerns with the Client or the Bank are unsuccessful (e.g. through the Client’s Project-level grievance mechanism or through direct engagement with Bank management), individuals and organisations may seek to address their concerns through the EBRD’s Independent Project Accountability Mechanism (IPAM).
IPAM independently reviews Project issues that are believed to have caused (or to be likely to cause) harm. The purpose of the Mechanism is: to support dialogue between Project stakeholders to resolve environmental, social and public disclosure issues; to determine whether the Bank has complied with its Environmental and Social Policy or Project-specific provisions of its Access to Information Policy; and where applicable, to address any existing non-compliance with these policies, while preventing future non-compliance by the Bank.
