Assignment Description:
The European Bank for reconstruction and Development (“EBRD” or the “Bank”) has established an agreement with Waste Management Enterprise “Khojagii Manziliy Kommunali” (“KMK”
or the “Company”) which foresees the provision of funds in the total amount of USD 4 million which consists of a loan of USD 2 million from the Bank and a capital expenditure grant of USD 2 million from an international donor to finance a priority investment program (“PIP”) which shall improve the quality of solid waste management services in the City Kurgan Tyube (the “City” or “Kurgan-Tyube”) and the surrounding areas
(the “Project”).
The City, located 96 km south of Dushanbe, has a population of 75,400, making it the fourth largest city in Tajikistan. The City is surrounded by settlements in the direct neighbourhood which will be most probably included in the City Area in the near
future.
KMK is currently responsible for solid waste disposal, street cleaning and watering of the main roads during summertime. The service area is the current City area. Currently the activities of KMK are financed through tariffs by customers and remuneration from the City for road cleaning services. Solid waste is currently being disposed to a landfill outside of the City which was established in 1978 (the “Sarband landfill”).
The solid waste management services are being organized at a rather low standard due to the notorious lack of budget funds which result in a lack of equipment, almost no maintenance and repair of trucks for waste collection and disposal and no qualified staff for operation.
Based on this Baseline Situation a Long-term Waste Management Strategy has been elaborated for the City which has been the base for the definition of priority measures.
The proposed EBRD transaction will focus on financing priority capital investments to improve solid waste collection in Kurgan-Tyube., as well as to upgrade and modernise the Sarband landfill. The investment will result in the improved service at waste collection and disposal levels, partial introduction of waste recycling and significant improvement of the environmental situation in the City.
In parallel with the equipment investments, the Project will contribute to the development and institutional strengthening of the Company and the City in respect of procurement, corporatisation, creditworthiness enhancement and the improvement of the environmental situation in the City. This activity will focus on operational and financial support to secure the sustainability of the Company’s operations; implementing a Stakeholders Participation Programme (“SPP”) in Kurgan-Tyube; and developing and introducing a Public Service Contract (“PSC”)
between the Company and the City (based on the drafts as elaborated in the Feasibility Study).
The Company and the City require a firm or group of experts (the “Consultant”) to assist the Company and the City to implement the Assignment which consist of two main parts:
Part I: Corporate Development Programme for the Company
The Consultant shall assist the Company to improve its commercial standing, service and environmental and social performance by helping to identify, and implement the necessary corporate, financial and operational improvements required to meet the related covenants included in the EBRD finance documents. This will be achieved via the development and implementation of a Financial and Operational Performance Improvement Plan (“FOPIP”). The Consultant shall also assist the Company to develop a medium-term focused corporate development plan, to improve its corporate planning capacity to assist its ongoing transition towards a self-sustaining entity, and to develop its commercial operations.
Part II: Stakeholders Participation and City Support
Programme for the City of Kurgan-Tyube
The Consultant shall assist the City with implementing the PSA, which will be a key component of the financial structure for the proposed projects. A related objective of the City Support Programme is to raise institutional capacity within Kurgan-Tyube to assist the City in managing the Project in an effective manner
as well as to raise financial planning capacity and thereby improve its creditworthiness. One important component will be the establishment of efficient monitoring structures which enable the City to monitor / control the performance of the KMK.
Additionally, the Consultant shall assist the City in the analysis of the baseline social situation of the vulnerable section of the population and the impact of the Project on these groups, and in connection to this assess any impact of the Project on the equality between men and women.
Status of Selection Process: Interested firms or group of firms are hereby invited to submit expressions of interest.
Assignment Start Date and Duration: The Assignment is
expected to start in Q4 2015 and has an estimated overall duration of 36 months.
Maximum Budget available for the Assignment: Maximum
budget available for the assignment: EUR 330,000 (exclusive of VAT). The Consultant must determine whether any indirect taxes/VAT are chargeable on the proposed services and state the basis for such. If any indirect taxes/VAT are payable, the Client will have to pay indirect taxes/VAT element to the services
directly to the Consultant unless otherwise agreed.
Funding Source: Early Transition Countries Fund
Eligibility: There are no eligibility restrictions.
Consultant Profile: Corporate services are required. The
Consultant will be a firm or a group of firms with substantial project
experience in solid waste management.
The Consultant should ensure that the appropriately qualified experts are available, as required, for each of the different tasks outlined above.
It is expected that the assignment will be led by an appropriately qualified project manager with experience in the solid waste sector and in implementing the key areas of this assignment, accompanied by both key and supporting experts.
Thus, it is expected that the consultant’s team will
include at least:
- Team Leader/ Solid Waste Management Operations Expert with practical international experience in providing Consultancy support services in Operation Management of Communal Enterprises preferably Waste Management Enterprises
- International Solid Waste Management Institutional and Regulatory Expert with practical experience in Institutional and Regulatory Consultancy to Communal Enterprises preferably Waste Management Enterprises and knowledge of the specific needs and requirements for regulation in waste management sector
- International Financial Specialist with practical experience in Financial Consultancy to Communal Enterprises preferably Waste Management Enterprises
- International Legal Expert
- Environmental and Social Experts with past experience of IFI projects
- Local Legal Expert with practical knowledge of the waste relevant legislation in Tajikistan
- Local Accounting Expert with practical experience in working with Communal Enterprises and City Administrations
- Local Training Expert
One essential component of the project is to provide support and advice to the City and the Company over a time of 3 years which means that the Consultant shall fulfil the role of a “Professional Coach” which is ready to monitor the progress carefully and also to react flexible on all developments and mainly to be always prepared to react on questions and problems of the City and the Company which may arise during project implementation. At least the Team Leader or the Institutional Expert shall have practical and proven experience of preferably 10 years in fulfilling this
position and will be the main counterpart for the City and the Enterprise. In his work he shall be supported by the other experts, which will assist in elaboration of deliverables and monitoring activities.
Submission Requirements: In order to determine the capability and experience of Consultants seeking to be shortlisted, the information submitted should include the following:
(a) brief overview of the firm/group of firms including company profile, organisation and staffing;
(b) details of similar experience of firm or group of firms and
related assignments undertaken in the previous five years, including information on contract value, contracting entity/client, project location/country, duration (mm/yy to mm/yy), expert months provided, assignment budget, percentage carried out by consultant in case of association of firms or
subcontracting, main activities, objectives;
(c) CVs of key experts who could carry out the Assignment detailing qualifications, experience in similar assignments, particularly assignments undertaken in the previous five
years, including information on contracting entity/client, project
location/country, duration (mm/yy to mm/yy), expert months provided, assignment budget, main activities, objectives.

The expression of interest shall not exceed 25 pages (excluding CVs and contact sheet).
The expression of interest, in English and Russian, shall be submitted to the Client by email to reach Client not later than 18 August 2015 at 15:00 (local time).
One further electronic copy, in both English and Russian, should be submitted to the EBRD’s contact person by the same due date.
