Project Description:
The European Bank for Reconstruction and Development (the “EBRD” or the “Bank”) has developed a project (the “Project”) together with the Joint Stock Company Transenergo (the “Company” or the “Client”) and the Akimat of the City of Aktobe (the “Akimat”) to upgrade the district heating (“DH”)  system in the City of Aktobe (“Aktobe” or the “City”) in the Republic of Kazakhstan.

The financing facility will consist of a local currency loan to the Company for the total amount of up to KZT 3.1 billion (EUR 15.5 million) supported by project support undertakings from the Akimat of the City (the “City Akimat”), the owner of the Company, and the Akimat of the Aktobe Oblast (the “Oblast Akimat”). A concessional loan in the amount of up to KZT 3.6 billion (EUR 18 million) from the state budget under the Nurly Zhol Programme is also envisaged and will be used to co-finance the sub-project’s priority investment programme.

The DH sector is a major component in Kazakhstan’s energy balance. It remains the most cost-efficient way of supplying heat to customers in the majority of post-Soviet cities, in particular where the main beneficiaries are lower-middle income, urban residents in high-density apartment buildings. The sector is characterised by a history of underinvestment over the last 20 years, which has resulted in a stock of ageing and inefficient assets with poor environmental performance that struggle to meet demand reliably. It is estimated that the assets have depreciated by 80 per cent.

The Project will enable the Company to address the above outlined issues and improve its DH services by financing priority investments for the rehabilitation and modernisation of its infrastructure. The priority investment programme will include the following components:

I. Modernisation of the boiler stations, including installation of automated control systems;
II. Modernization of DH networks;
III. Development and installation of hydraulic modelling system.

Assignment Description:
The Company intends to hire a  consultancy firm or group  of consultancy firms (hereinafter the “Consultant”) to assist the Company to improve its commercial standing, service and environmental performance by supporting the identification and implementation where necessary establishment of the corporate, financial, operational and environmental management required to meet the related covenants included in the EBRD financing documents.

The Consultant shall also assist the Company to develop a medium-term focused corporate development plan and to improve the corporate planning capacity to assist ongoing transition towards becoming a self-sustaining entity with commercially sustainable operations, as well as implementing the Environmental and Social Action Plan (“ESAP”) developed for the Company.

The Consultant’s main objectives are outlined as follows:

• Implement corporate development programme;
• Prepare a FOPIP for the Company and will assist with its implementation;
• Maintain satisfactory accounting, cost control and management information systems and books of account in accordance with International Accounting Standards starting from a date to be agreed with the Bank in the Loan Agreement;
• Recommend and introduce Management Information System (“MIS”);
• Provide the Bank with financial and annual environmental and social reports (“AESRs”) as required under the financing and project agreements;
• Maintain the financial covenants in the loan agreement;
• Develop and introduce a Public Service Contract (“PSC”) between the Akimat and the Company;
• Implement ESAP;
• Implement Stakeholder Participation Programme (“SPP”) aimed at increasing public participation in the provision of DH services (service quality, rehabilitation activities, tariffs integrating poverty and social issues) and raising public awareness on issues related to the project implementation;
• Develop a methodology and standards for annual publication of performance targets on the Company web site.

Status of Selection Process: Interested firms or group of firms are hereby invited to submit expressions of interest.

Assignment Start Date and Duration: The Assignment is expected to start in Q4 2015 and has an estimated overall duration of 3 years.

Cost Estimate for the Assignment:  EUR 320,000.00 (exclusive of VAT). Subject to availability of funding.
The Consultant must determine whether any indirect taxes/VAT are chargeable on the proposed services and state the basis for such. If any indirect taxes/VAT are payable, the Client will have to pay indirect taxes/VAT element to the services directly to the Consultant unless otherwise agreed.

Funding Source:  It is anticipated that the contract will be financed through the EBRD’s donor funded Technical Cooperation Funds Programme. However consultant selection and contracting will be subject to availability of funding from an appropriate donor.

Eligibility: There are no eligibility restrictions. 

Consultant Profile:  Corporate services are required. The Consultant will be a firm or a group of firms with preferably previous project experience related to:

1. Firm’s experience in implementation of corporate development programmes  in  district heating sector;
2. Firm’s experience in implementation of a Financial and Operational Performance Improvement Programmes (FOPIP) in  district heating sector;
3. Firm’s experience in implementation of EBRD’s environmental and social project requirements or relevant equivalent requirements of other International Financial Institutions (IFIs).
4. Firm’s experience in drafting, procuring and implementation of Public Service Contracts in district heating sector.

The Consultant’s expert team is expected to include key experts as follows:

a) Key Expert No1*: Team Leader/ DH Management Operations Expert with
preferably ten  years of previous professional experience in  municipal district heating sector in countries with comparable  conditions  to Kazakhstan.
b)  Key Expert No 2*: District Heating Institutional and Regulatory Expert with
preferably ten years of previous professional experience in  a similar projects in district heating sector.
c)  Key Expert No 3*: Financial Expert with  preferably five years of previous experience in implementation of a Financial and Operational Performance Improvement Programmes in district heating sector.
d) Key Expert No 4*: Economist with preferably  ten years experience in district heating sector and with relevant experiences in the similar assignments.
e) Key Expert No 5*: Environmental and Social/Labour Experts with
preferably  ten years experience in the  implementation of the  similar assignments and with a demonstrable knowledge of environmental and social standards of the EBRD or other comparable institutions.
f) Key Expert No 6*: Legal Expert with experience in drafting of PSC in  similar assignments in district heating sector.

*Fluency in Russian would be considered as advantage.

Non-key experts are expected to include local administrative experts. 

Submission Requirements: In order to determine the capability and experience of Consultants seeking to be shortlisted, the information submitted should include the following:

1. Company/group of firms’ profile, organisation and staffing (max. 2-4 pages).

2. Details of previous project experience or similar assignments particularly undertaken preferably in the previous ten years, including information on contract value, contracting entity/client, project location/country, duration (mm/yy to mm/yy), expert months provided (if different from duration) , main activities, objectives.

3. CVs of key experts who could carry out the Assignment detailing qualifications, experience in similar assignments, particularly preferably assignments undertaken in the previous ten  years, including information on contracting entity/client, project location/country, duration (mm/yy to mm/yy), expert months provided, assignment budget, main activities, objectives.

4. Completed Consultant Declaration Form and Contact Sheet, the template for which is available from the following web-link:

The expression of interest shall not exceed 25 pages (excluding CVs and Consultant Declaration and Contact Sheet).

One original and one copy of the expression of interest (hard copy), both in English and in Russian, should be submitted to the Client in an envelope marked “EXPRESSION OF INTEREST for Kazakhstan: Aktobe District Heating Project – Corporate Development Programme TCS ID 48202”, to reach Client not later than 3 August 2015 at 16:00 hrs. Aktobe time. One further electronic copy of EOI in English and in Russian should be submitted to the EBRD’s contact person by email by the same due date.

In case of discrepancy between English and Russian EOIs, English version of EOI will prevail.

Important Notes:

1. Following this invitation for expressions of interest, a shortlist of qualified firms will be formally invited to submit proposals. Consultant selection and contracting will be subject to availability of funding.

2. The shortlist criteria are as follows:

a) Firm’s experience in implementation of corporate development programmes in  district heating sector  – 25 %
(b) Firm’s experience in implementation of  Financial and Operational Performance Improvement Programmes (“FOPIP”) in  district heating sector  - 10 %
(c) Firm’s experience in drafting, procuring and implementation of Public Service Contracts in district heating sector - 15% 
(d) Firm’s experience in  implementation of EBRD’s environmental and social project requirements or relevant equivalent requirements of other International Financial Institutions (IFIs) – 10%
(e) CV of Key Expert No 1 Team Leader/ DH Management Operations Expert with preferably ten years of previous professional experience in  municipal district heating sector in countries with conditions similar to Kazakhstan (fluency in Russian would be considered an advantage)  – 20 %
(f) CVs of Key Experts No 2,  3, 4, 5 and 6 (fluency in Russian would be considered an advantage) – 20 %
