The European Bank for Reconstruction and Development (the 'EBRD' or the 'Bank') plans to finance the construction of a new 479 km natural gas trunk pipeline on the Romanian territory, which is part of the Bulgaria-Romania-Hungary-Austria gas pipeline (the 'BRUA pipeline') and the three gas compressor stations (the 'Project'). The beneficiary of the financing will be TRANSGAZ, the Romanian Gas Transmission Company SA.(the 'Company')
The Bank intends to engage a consulting company (the 'Consultant') to act as a Lender's consultant to provide technical, environmental & social consultancy services for the Project (the 'Assignment') from the time of signing of the loan agreement (the 'Loan Agreement') through to successful commissioning of the new gas transmission system. The expected outcome of the Assignment is successful implementation of the Project in accordance with the terms of the loan and all the relevant rules and requirements. The selected Consultant is expected to provide the following services:
a) review and comment on the main technical documentation, engineering studies and drawings for the Project, including the already completed studies and the ones under preparation by the contractors and the Company (i.e. the 'due diligence'); ensure their compliance with the Project requirements;
b) review and comment on the procurement procedures for the necessary construction works and services not yet awarded at the time of the start of this Assignment (approximately 7 contracts) and confirm that they are in line with the IFI's procurement principles and practice and the Loan Agreement;
c) regularly monitor the Project implementation on the Bank's behalf, according to the agreed schedule, including verification and analysis of the Project costs and physical progress; opine on whether good practices are maintained during the construction process;
d) analyse and make comments in a report on the way in which the contractors are performing their tasks as per the contracts;
e) review and confirm that all necessary works for the Project are being implemented as per the Loan Agreement, including the Project Implementation Plan (PIP) and disbursements;
f) review and comment on the Project management and the Company's supervision arrangements for the works and services for the Project;
g) confirm the completion of the Project to the Bank;
h) confirm the Project compliance with specific provisions and the overall objectives of the EIA, SLIP, ESAP and other project documents;
i) review and confirm the implementation of mitigation measures, as documented in the General Requirements Register and Environmental and Social Management Plans to address material environmental & social (E&S) risks and issues associated with the Project;
j) analyse and make comments on the key documents, when they become available, that are required before the construction as specified in the EBRD ESAP;
k) analyse and make comments on the material changes which may occur throughout the implementation of the Project in respect of its design and operations since the E&S due diligence was undertaken and until the confirmation date of the Project completion, and
l) analyse and make comments on the General E&S performance and the extent to which the Project is in compliance with the EBRD Performance Requirements and the good industry practices.
Status of Selection Process: Interested firms or groups of firms are hereby invited to submit expressions of interest.
Assignment Start Date and Duration: The Assignment is expected to start in July 2018 and has an estimated overall duration of 24 months. The contract may be extended to provide for monitoring services until the end of the loan, subject to business need and satisfactory performance.
Cost Estimate for the Assignment: EUR 350,000 (exclusive of VAT).
The Consultant must determine whether any VAT would be chargeable on the services and the basis for that determination, without taking into consideration the special status of the Bank as an IFI and state this to the Bank in their response to the Invitation for Expressions of Interest. To the extent that a Consultant incurs input VAT on goods and services purchased in connection with the provision of services (e.g. VAT on airline ticket) which is not otherwise recoverable by the consultant from the local tax authority, the gross cost to the consultant of such expenses shall be treated as a reimbursable expense.
Funding Source: It is expected that the Assignment will be funded by EBRD. Please note that selection and contracting will be subject to the availability of funding.

Consultant Profile: Corporate services are required. The Consultant will be a firm or a group of firms preferably with previous project experience related to:
1. Engineering design and construction of gas transmission systems;
2. Public procurement in gas/energy sector projects;
3. E&S and health and safety (H&S) monitoring in the EBRD's countries of operations and in IFI-financed projects, preferably in the field of natural gas transportation.
The Consultant's expert team is expected to include the following key experts (the 'Key Experts'):
Key Expert 1: Team Leader will be an engineer preferably with 10 years of professional experience in engineering design and construction of gas transmission systems. The proposed Team Leader who has been an employee of the consulting company for at least the past 5 years would have an advantage;
Key Expert 2: Senior Project Engineer 1 preferably with 10 years of experience in project management of construction of gas transmission pipeline systems;
Key Expert 3: Senior Project Engineer 2 preferably with 10 years of experience in project management of construction of gas compressor stations;
Key Expert 4: Senior Procurement Expert preferably with 10 years of experience in public procurement in gas/energy sector projects including construction/rehabilitation projects, and IFI related experience (EBRD, World Bank and other multilateral development banks), good knowledge of EU Directives and Romanian Law on public procurement, FIDIC contracts;
Key Expert 5: Senior Environmental Specialist preferably with 5 years of experience in the EBRD’s countries of operations and in IFI-financed projects, preferably in the field of natural gas transportation through the high pressure main pipelines, with excellent communication skills and excellent English;
Key Expert 6: Biodiversity Expert preferably with 5 years of experience implementing and monitoring compliance of biodiversity management plans and related offset strategies;
Key Expert 7: Health and Safety Specialist(s) preferably with 5 years of experience in the onshore oil and gas industry, especially construction of linear transportation infrastructure;
Key Expert 8: Social Specialist(s) preferably with 5 years of experience in Romania, including stakeholder engagement and grievance management in the local context, economic displacement / livelihood restoration planning, as well as labour expertise, as required. Other necessary experts, such as process, mechanical, electrical, civil and environment engineers with preferably 5 years’ experience in design and operation of the main and auxiliary systems of gas transmission systems.

1. Company/group of firms' profile, organisation and staffing (max. 2-4 pages).
2. Details of previous project experience or similar assignments particularly undertaken in the previous five years, including information on contract value, contracting entity/client, project location/country, duration (mm/yy to mm/yy), expert months provided (if different from duration) , main activities, objectives.
3. CVs of key experts who could carry out the Assignment detailing qualifications, experience in similar assignments, particularly assignments undertaken in the previous five years, including information on contracting entity/client, project location/country, duration (mm/yy to mm/yy), expert months provided, assignment budget, main activities, objectives.
