Project description
and objectives:

The EBRD financing is part of €650 million syndicated senior debt facilities to Polska Telefonia Cyfrowa Sp. z o.o., (PTC) the leading provider of wireless telecommunications services in Poland. The EBRD’s involvement supported the successful mobilisation of additional Polish Zloty funds during the syndication phase and further development of this leading wireless operator in the country. Proceeds will be used to fund the company’s network build out, refinance existing debt facility and partly fund the UMTS licence fee.

The EBRD promotes sustainable telecommunications network expansion and fosters the emergence of innovative and advanced services that are crucial for the overall competitiveness of businesses in the region.

The client:

PTC is the leading provider of wireless telecommunications services in Poland, operating nationwide dual-band GSM 900/1800 mobile networks. It launched its operations in September 1996. The majority shareholders are the Polish conglomerate Elektrim, French telecommunications group Vivendi and Deutsche Telekom.

EBRD finance:

An underwriting commitment of €150 million with a final loan amount of €75 million eqivalent is provided by the EBRD in Polish Zloty.

The proposed EBRD financing is part of a €650 million syndicated, 5-year, senior debt facilities consisting of two tranches: a €390 million Euro tranche and a €265 million Polish zloty tranche. Lead arrangers and underwriters are Deutsche Bank, Dresdner Bank and the EBRD.

Total project cost:

€650 million.

Environmental impact:

The project was screened as B/0, requiring an environmental analysis. Such analysis did not reveal any major environmental, health and safety concerns. PTC is in compliance with all applicable environmental, health and safety regulations.

In 1999, the company received ISO 9002 quality management certification for the operation of its network management centre in Warsaw. Standard environmental, health and safety precautions are taken when building new transmission lines, as well as during construction works, installation of radio towers and other equipment.

PTC provides regular training to its employees on health and safety. In 1999, the company developed risk and crisis management rules, which are currently being translated into detailed emergency procedures for PTC's facilities. PTC is also developing an environmental management system.
