7. Information about the concession object
7.1 Name of the concession object: Integral property complex of the Communal Enterprise “BAKHMUT-VODA”

7.4 Brief characteristics:
Communal Enterprise “Bakhmut Voda” provides services of centralized water supply and sewerage in the towns of Artemivsk, Soledar, and two villages – Krasne and Opytne.
Total number of inhabitants – 82,500 people (43,616 private customers, 731 legal entities).
Technical perimeter of the communal enterprise “Bakhmut Voda” includes:
• Production and distribution of drinking water;
• Water treatment facilities (in Artemivsk and Soledar);
• Rainwater disposal networks;
• Services to the customers.
Drinking water production approximates 13,000,000 m3/year, i.e. about 35,600 m3/ day.

Total length – 161.1 km
8. Concession Project Start Date and Duration:
It is anticipated that the Concession Project will start with the signature of the Concession Agreement, and will have the duration of 25 years.
9. Provisional amount of investment:
Phase 1: 2010 – 2024: 10.5 million euro
Phase 2: 2025 - 2034: 10 million euro

11. Eligibility:

12. Concessionaire Profile:
The Concessionaire will be a physical or legal entity that can demonstrate relevant experience in operation of water supply and sewerage utilities and financial ability to make required investment and implement a Concession Project.
13. Requirement for submission of application:
All information requested for application shall be provided in the Ukrainian language. Where information is provided in another language it shall be accompanied by a translation into the Ukrainian language. This translation certified by a notary, will govern and be used for interpreting the information.
Applications shall contain the following information:
1) For physical entities:
• Full name and passport data;
• Bank account details;
• Income statement;
• Telephone /Fax number.
2) For legal entities:
- full applicant’s name;
- address of the applicant;
- telephone, fax numbers, e-mail address;
- date and place of registration;
- organizational-legal form;
- code from the state register of entrepreneurs of Ukraine (YeDRPOU) (for residents);
- general information about managers.
Forms and Documents to be attached to application letter:
- notary certified copies of Articles of Association and State Registration Certificate;
- extract from the register of physical and legal entities (i.e. Extrait Kbis) with full information about the company;
- certificate confirming the absence of debts from the State Tax Service bodies on the date not more than two months before the Notification of Concession Tender confirming absence of debts to salary payment, tax payment, fees (obligatory fees) to the State and Local budgets, Pension fund (for residents);
- notary certified balance of the enterprise (form No. 1) for the last three years (for residents);
- notary certified financial results report (form No. 2) for the last three years (for residents);
- notary certified cash drive report (form No. 3) for the last three years (for residents);
- debit and credit debt with the dates;
- notary certified own capital report (form No 4) for the last three years (for residents);
- auditors’ report for the last three years (made up by one of the leading international auditing company) (for non-residents);
- documents confirming candidate’s correspondence with the qualification requirements, defined in this notification;
- documents (intentions reports, letters of association) certifying candidate’s agreement with the consortium partners (contractors, creditors, suppliers), in case the candidate considers it necessary to involve them into the project implementation (if available);
- certified copies of documents confirming the non-bankruptcy of the applicant.
Application shall be signed by the duly authorised person and shall be stamped.
Submission of applications
Applications must be received in sealed envelopes, which shall be delivered either by courier or by registered mail, to the address specified below no later than 31 December 2009, and shall bear the words “Application to participate in the tender for selection of a Concessionnaire for operation of Artemivsk municipal water supply and sewerage system”.
The name and mailing address of the applicant shall be clearly marked on the envelope.
Failure to provide information which is essential to evaluate the applicant's qualifications or to provide timely clarification or substantiation of the information supplied may result in disqualification of the applicant.

14. Qualification requirements for applicants:
To be eligible an applicant must demonstrate to the CGA that it substantially satisfies the requirements regarding experience and reliability, financial position and litigation history, specified below:
1) General experience.
The applicant shall meet the following minimum criteria: successful experience in water supply and sewerage sector (as a concessionaire, or similar contracts) in the execution of concession operation projects of a nature and complexity comparable to the proposed contract.
2) Financial Position.
- The applicant shall demonstrate that it has access to, or has available, liquid assets, unencumbered real assets, lines of credit, and other financial means sufficient to meet the investment requirements of this concession project.
- The audited balance sheets for the last three years shall be submitted and must demonstrate the soundness of the applicant's financial position, showing long-term profitability.
3) Litigation History.
The applicant shall provide accurate information on any current or past litigation or arbitration resulting from contracts completed or under execution by him over the last five years.
15. Clarification Meeting or Site Visit
Site Visit can be held in December 2009, at the applicant cost and with prior agreement of the date.
16. Tender dossier
Applicants will be sent by email the tender dossier within 3 days after receipt of invitation to tender and of receipt of the registration fees.
