Invitation to register as EBRD Consultants for the External Supervisory Board Nominee(s) for Financial Institutions Business Group

Assignment Description:

The Financial Institutions Business Group of the European Bank for Reconstruction and Development (the "EBRD" or the “Bank”) intends to establish a register of qualified External Board Nominee Experts ("External Board Nominees") to act as the EBRD’s nominee on the Board of one or more investee companies (i.e. banks and other financial institutions) in CIS or Eastern and Central European countries in which the EBRD has made equity investments.

For each individual assignment, the FI Operation team will screen the register and select a consultant in accordance with the EBRD’s Procurement Policies and Rules.-.

Services required

Subject to the duties and obligations of Board members to act in and to promote the best interests of the investee companies, the tasks of the experts will be to:

• attend and participate actively in all Board meetings, having familiarised themselves with all Board documentation;

• actively promote best practices of corporate governance;

• report to the EBRD on all Board meetings, commenting where appropriate on issues that may be relevant to the EBRD in its role as a multilateral organisation and investor;

• liaise with the EBRD on any issue that may require action to be undertaken by the EBRD to accomplish its targets and monitor its investment;

• subject to confidentiality constraints, provide to the EBRD advice and comments concerning any relevant information that may arise from issues concerning the investee companies;

• support and provide advice to the management of the investee companies, advising on the establishment and observance of proper corporate governance, organisational strategy and business development;

• scrutinise the financial statements of the investee companies, identifying potential early warning signals concerning financial performance, and other areas of concern that need to be addressed by the investee company and by the EBRD and deal with issues arising in close co-operation with the EBRD, subject to confidentiality constraints.

Consultant Profile:

The experts should demonstrate relevant knowledge and/or experience in the following areas:

• significant / extensive experience in international banking and other financial institutions;

• prior track record of acting as a director of a financial institution or other organisation;

• at least 10 years' experience in banking or other financial institutions;

• the technical expertise and management capability to participate in Audit Committees, Remuneration Committees and/or Strategy Committees as required;

• experience in corporate governance, strategic planning and organisation, and change management;

• working experience in CIS and Central and Eastern Europe, with knowledge of banking and financial systems in the region;

• familiarity with the EBRD’s mandate and operations.

• local language skills, are preferred but not essential.

Consultants based in EBRD countries of operations are strongly encouraged to apply.

Estimated Cost: up to USD 100,000 per bank per year.

Failure to complete both forms may result in rejection of the individual’s application.

CVs should be detailed and include full descriptions of responsibilities carried out, not just a job title.

General

Individuals (only) may express interest in registering and may be registered at any time. There is no deadline for submission of registration forms.

All candidates will be informed whether or not they are included on the register. Once included in the register, no further registration is required, however individuals may, when appropriate, update the information they have provided to the Bank by submitting an updated version of the registration form and CV.

The EBRD reserves the right to modify or withdraw the registration system described above for any reason and without prior notice. Registered individuals will be promptly advised, however, of any such modification or withdrawal and of the system (if any) to be introduced to replace the current procedure.

Inclusion on the register does not guarantee selection for any board nominee assignment.
